Conditions Precedent to Loan Agreement. The Issuer’s agreement to enter into this Loan Agreement and provide the financing contemplated hereby shall be subject to the condition precedent that the Issuer shall have received, or waived the requirement for, the items listed in Section 5.01(a)-(p), (w), (x), (y), (aa) and (dd), each in form and substance satisfactory to the Issuer.
