Conditions Precedent to Obligations Of. CABOT PARTNERS -------------- The obligation of Cabot Partners to consummate the Closing is subject to the fulfillment, at or prior to the Closing, of each of the following conditions, and failure to satisfy any such condition shall excuse and discharge all obligations of Cabot Partners to carry out the provisions of this Agreement unless such failure is waived in writing by Cabot Partners. Promptly after becoming aware that any of the following conditions has not been or cannot be satisfied at or prior to the Closing, Cabot Partners shall so notify all other parties to this Agreement.
