Conditions Precedent to the First Loan. The obligation of each Lender to make its initial Loan and the obligation of the Issuing Bank to Issue its initial Letter of Credit is subject to the satisfaction of the condition precedent that the Agent shall have received the following, each, unless otherwise specified below, dated as of the Closing Date, in form and substance satisfactory to the Agent and its counsel:
