Conditions to the Obligations of the Vendor. Notwithstanding anything herein contained, the obligations of the Vendor to complete the transactions provided for herein will be subject to the fulfillment of the following conditions at or prior to the Closing Time:

Notwithstanding anything herein contained, the obligations of the Vendor to complete the transactions provided for herein will be subject to the fulfillment of the following conditions at or prior to the Transfer Date, and the Purchaser will use its commercially reasonable best efforts to ensure that such conditions are fulfilled as soon as soon as reasonably practicable following the date of execution of this Agreement and in any event on or before August 26, 2016.
Conditions to the Obligations of the Vendor. All obligations of the Vendor under this Agreement are subject to the fulfilment at or before the Closing Date of the following conditions.

The Vendor's obligation to sell the Sale Shares at the Completion is subject to the fulfilment to its satisfaction on or prior to the Completion Date of the following condition, it being understood that this condition is included for the exclusive benefit of the Vendor and may be waived, in whole or in part, at any time prior to the Completion, in writing by the Vendor. All covenants, agreements and conditions contained in this Agreement to be performed or complied with by the Purchaser on or prior to the Completion Date shall have been performed or complied with by the Purchaser in all material respects.
