Confidential Proprietary and Trade Secret Information of Others. Board Member represents that he has disclosed to the Company any agreement to which Board Member is or has been a party regarding the confidential information of others and Board Member understands that Board Member's execution of this Agreement with the Company will not require Board Member to breach any-such agreement. Board Member will not disclose such confidential information to the Company nor induce the Company to use any trade secret or proprietary information received from another under an agreement or understanding prohibiting such use or disclosure.

The Executive represents that he has disclosed to the Employer any agreements to which the Executive is or has been a party regarding the confidential information of others and the Executive understands that the Executive's employment by the Employer will not require the Executive to breach any such agreement. Executive further represents and warrants that he has disclosed to the Bank and Bancorp any agreement to which Executive is or has been a party regarding the confidential information of others and Executive understands that Executive’s employment by the Bank and Bancorp will not require Executive to breach any such agreement. Executive will not disclose protected confidential information of third parties to the Bank or Bancorp nor induce the Bank and Bancorp to use any such protected confidential information received from another under an agreement or understanding prohibiting such use or disclosure.

The Employee will not disclose such confidential information to Calypte nor induce Calypte to use any trade secret proprietary information received from another under an agreement or understanding prohibiting such use or disclosure.

MAP represents that it has disclosed to the Company all agreements to which MAP is or has been a party regarding the confidential information of others and MAP understands that MAP’s execution of this Agreement with the Company will not require MAP to breach any such agreement. MAP will not disclose any such confidential information to the Company nor induce the Company to use any trade secret or proprietary information received from another under an agreement or understanding prohibiting such use or disclosure.
