Confidentiality or Proprietary Information. Employee agrees, during or after the term of this employment, not to reveal confidential information, or trade secrets to any person, firm, corporation, or entity. Should Employee reveal or threaten to reveal this information, the Company shall be entitled to an injunction restraining the Employee from disclosing same, or from rendering any services to any entity to whom said information has been or is threatened to be disclosed. The right to secure an injunction is not exclusive, and the Company may pursue any other remedies it has against the Employee for a breach or threatened breach of this condition, including the recovery of damages from the Employee.

CONTRACTOR agrees, during or one year after the term of this employment, not to reveal confidential information, trade secrets to any person, firm, corporation, or entity. Should CONTRACTOR reveal or threaten to reveal this information, the COMPANY shall be entitled to an injunction restraining the CONTRACTOR from disclosing same or from rendering any services to any entity to whom said information has been or is threatened to be disclosed. The right to secure an injunction is not exclusive, and the COMPANY may pursue any other remedies it has against the CONTRACTOR for a breach or threatened breach of this condition, including the recovery of damages from the CONTRACTOR.

HYPERFEED understands and acknowledges that it may receive information, including pricing, product, and marketing information and other information which XXXXXXXX may designate as confidential, orally or in writing, which is of a proprietary nature and that has been developed as a trade secret of XXXXXXXX at its expense (“XXXXXXXX Confidential Information”). Any customer lists. information pertaining to, or included in, the Services, and the terms of this Agreement are hereby designated XXXXXXXX Confidential Information. HYPERFEED agrees to hold the XXXXXXXX Confidential Information in the same manner, but in no event less than in a reasonable manner, as HYPERFEED deals with its own proprietary information and trade secrets. HYPERFEED agrees not to use the XXXXXXXX Confidential Information except as expressly provided under this Agreement.

LICENSEE agrees to hold the LICENSOR Confidential Information in the same manner, but in no event less than in a reasonable manner, as LICENSEE deals with its own proprietary information and trade secrets. LICENSEE agrees not to use the LICENSOR Confidential Information except as expressly provided under this Agreement and LICENSEE agrees not to attempt any reverse engineering of the SOFTWARE.

Employee agrees, during and for two (2) years after the term of his employment, not to reveal confidential information, or trade secrets as defined in the Illinois Trade Secrets Act, 765 ILCS section 1065, et seq., to any person, firm, corporation, or entity. Should Employee reveal or threaten to reveal this information, the Company shall be entitled to an injunction restraining the Employee from disclosing same, or from rendering any services to any entity to whom said information has been or is threatened to be disclosed by employee. The right to secure an injunction is not exclusive, and the Company may pursue any other remedies it has against the Employee for a breach or threatened breach of this condition, including the recovery of damages from the Employee.
Confidentiality or Proprietary Information. Subsequent to the execution of this Agreement, neither Seller nor any of its affiliates will for itself or on behalf of any corporation, person, firm, partnership, association, or other entity (whether as an individual, agent, servant, employee, employer, director, officer, shareholder, investor, principal, consultant or in any other capacity) disclose to any person or entity (i) any financial information or (ii) any of the confidential seismic and other oil and gas information, trade secrets, exploratory data, methods, systems, procedures, data bases or software programs or applications or processes of, or utilized by, the Company; provided that (after reasonable measures have been taken to maintain the confidentiality and after giving reasonable notice to Buyer specifying the information involved and the manner and extent of the proposed disclosure thereof) (i) any disclosure of such information may be made to the extent required by applicable Law or judicial or regulatory process, (ii) such information may be used as evidence in or in connection with any pending or threatened litigation relating to this Agreement or any transaction contemplated hereby, (iii) any disclosure of such information may be made to the extent that such information is in the public domain (other than by or through Seller), and (iv) any disclosure of such information may be made to the extent required by any agreement or agreements under which Seller or the Company is bound or to which the Stock or any of the Assets are subject.
Confidentiality or Proprietary Information. The Contractor agrees, during or after the term of this contractor, not to reveal confidential information, or trade secrets to any person, firm, corporation, or entity. Should the Contractor reveal or threaten to reveal this information, the Company shall be entitled to terminate the Contractor Agreement. The Company will only use the personal information that the Contractor provided in the Agreement for its own use and for this contractor purpose. The Company will not share the information contained in this Agreement with any third party including the Company's affiliated companies, institutions or person(s) for any reason.

The Vendor agrees, during or after the term of this Agreement, not to reveal confidential information or trade secrets to any person, firm, corporation, or entity. Should the Vendor reveal or threaten to reveal this information, the Resort shall be entitled to an injunction restraining the Vendor from disclosing same, or from rendering any services to any entity to whom said information has been or is threatened to be disclosed. The right to secure an injunction is not exclusive, and the Resort may pursue any other remedies it has against the Vendor for a breach or threatened breach of this condition, including the recovery of damages for the Vendor.
