Confirmation of Assignments. The parties confirm their agreement under the LOI that Aegea and Biocept shall jointly own, in undivided shares, the Joint Patents and the Inventions, and reaffirm the following assignments made pursuant to the LOI and effective as of May 2, 2012:
(a) the Inventor assigned to Aegea all of the Inventor’s right, title and interest in and to the Aegea Inventions, including, without limitation, all Patents and other intellectual property rights therein;
(b) Aegea assigned to Biocept an undivided joint ownership interest in and to the Aegea Inventions, including, without limitation, all Patents and other intellectual property rights therein; and
(c) Biocept assigned to Aegea an undivided joint ownership interest in and to the Biocept Provisional Application and the Biocept Inventions, including, without limitation, all Patent and other intellectual property rights therein.
Confirmation of Assignments i. The Consultancy will confirm to the Client written confirmation of the Assignment, including any milestone deliverables, specifying the duration of the Assignment, the cost, with expenses if agreed and any notice period for all parties and the invoice details.
Confirmation of Assignments. 1.1 The parties acknowledge that the Lessee's interest in and under the Lease and in and to the Premises were assigned by FLDC to Assignor-Lessee as a result of the statutory merger.
Confirmation of Assignments. 2.1. Prior to the commencement of the Assignment, or if this is not practical, upon commencement of the Assignment, the Employment Business will send to the Client written confirmation of the Assignment specifying the duration of the Assignment, the identity of the Contractor, the hourly rate charged by the Employment Business together with such expenses as may have been agreed, any notice period to terminate the contract, the intervals at which invoices shall be rendered to the Client by the Employment Business and any other relevant information.
