CONFLICTS AND ETHICAL STANDARDS OF CONDUCT. Customer affirms that, to the best of Customer’s knowledge, there exist no conflicts of interests between Customer and CHOP or its employees. Customer hereby represents that it has neither received nor given gifts or gratuities to any member of the CHOP community, nor participated in any other unethical conduct in connection with this Agreement. If, at any time, CHOP determines that Customer is in violation of any representation under this Section, CHOP may cancel this Agreement upon written notice to Customer, and CHOP shall have no further obligation to Customer.

If, at any time, University determines that Contractor is in violation of any representation under this Paragraph, University may cancel this Agreement upon written notice to Contractor, and University shall have no further obligation to Contractor.

Service Provider hereby represents and warrants that it has neither received nor given gifts or gratuities to any member of the CHOP community, nor participated in any other unethical conduct in connection with this Agreement. To the extent that Service Provider can no longer make the representations and warranties contained in this Section, Service Provider shall notify CHOP immediately in writing. If, at any time, CHOP determines that Service Provider is in violation of any representation under this Section, CHOP may terminate this Agreement upon written notice to Service Provider, and CHOP shall have no further obligation to Service Provider.

Contractor hereby represents that it has neither received nor given gifts or gratuities to any member of the Middlebury community, nor participated in any other unethical conduct in connection with this Agreement. If, at any time, Middlebury determines that Contractor is in violation of any representation under this Paragraph, Middlebury may cancel this Agreement upon written notice to Contractor, and Middlebury shall have no further obligation to Contractor.

If, at any time, Bloomfield College determines that Seller is in violation of any representation under this Paragraph, Bloomfield College may cancel the Agreement upon written notice to Seller, and Bloomfield College shall have no further obligation to Seller.
