CONSENT OF SPOUSES. The spouses of the individual Holders are fully aware of, understand and fully consent and agree to the provisions of this Agreement and its binding effect upon any community property interests or similar marital property interests in the Common Shares or Options they may now or hereafter own, and agree that the termination of their marital relationship with any Holder for any reason shall not have the effect of removing any Common Shares or Options otherwise subject to this Agreement from the coverage of this Agreement and that their awareness, understanding, consent and agreement are evidenced by their signing this Agreement. Furthermore, each individual Holder agrees to cause his or her spouse (and any subsequent spouse) to execute and deliver, upon the request of the Company, a counterpart of this Agreement, or an Adoption Agreement substantially in the form of Exhibit A or in a form satisfactory to the Company.
CONSENT OF SPOUSES. I acknowledge that I have read the foregoing Buy and Sell Agreement and that I know its contents. I am aware that by its provisions my spouse is to sell of all his or her shares of the Corporation (including my community property interest therein), upon an occurrence of any event specified therein. I hereby consent to such sale, approve of the provisions of said Buy and Sell Agreement, and agree that I will not bequeath said shares or any of them or any interest in them by my Will if I predecease my spouse. I direct that the residuary clause in my Will shall not be deemed to apply to my community interest in such shares.
CONSENT OF SPOUSES. If requested by the Company, the Subscriber shall cause his or her spouse to execute and deliver a separate consent and agreement substantially in the form attached as Schedule C hereto (a “Spousal Consent”), and deliver such executed Spousal Consent to the Company within ten (10) business days of such request by the Company. The signature of a spouse on a Spousal Consent shall not be construed as making such spouse a Member of the Company or a party to this Subscription Agreement, the Operating Agreement, the Members’ Agreement or the Restricted Stock Agreement except as may otherwise be set forth in the Spousal Consent. Each Member who is an individual will certify his or her marital status to the Company at the Company’s request.
CONSENT OF SPOUSES. If requested by the Company, the Investor shall cause his or her spouse to execute and deliver a separate consent and agreement substantially in the form attached as Schedule C hereto (a “Spousal Consent”). The signature of a spouse on a Spousal Consent shall not be construed as making such spouse a Member of the Company or a party to this Subscription Agreement, the Members Agreement or the Operating Agreement except as may otherwise be set forth in such consent. Each Member who is an individual will certify his or her marital status to the Company at the Company’s request.
CONSENT OF SPOUSES. If requested by the Company, each Stockholder who is an individual shall cause his or her spouse, as applicable, to execute and deliver a separate consent and agreement in form and substance reasonably acceptable to the Company (a "SPOUSAL CONSENT"). The signature of a spouse on a Spousal Consent shall not be construed as making such spouse an owner of Stockholder Shares or a party to this Agreement except as may otherwise be set forth in such consent. Each Stockholder who is an individual will certify his or her marital status to the Company at the Company's request.
CONSENT OF SPOUSES. Within ten (10) days after any individual becomes a Partner or a Partner marries, that Partner will have his or her spouse execute a consent form (1) acknowledging that the spouse has read the Agreement; (2) consenting to any sale of that interest pursuant to the Agreement; and (3) promising to take no action to hinder the operation of the Agreement on the Partner’s interest, or any interest that the spouse might have in that Partner’s interest.
CONSENT OF SPOUSES. If requested by the Company or Requisite Investors, each Shareholder who is an individual shall cause his or her spouse, as applicable to execute and deliver a separate consent and agreement substantially in the form attached hereto as Exhibit B and otherwise in form and substance reasonably acceptable to the Company and the Requisite Investors (a "SPOUSAL CONSENT"). The signature of a spouse on a Spousal Consent shall not be construed as making such spouse a shareholder of the Company or a party to this Agreement except as may otherwise be set forth in such consent. Each Shareholder who is an individual will certify his or her marital status to the Company at the Company's request. The Company or Requisite Investors will request Spousal Consents as contemplated by this Section 8.13 whenever such action may be advantageous in enforcing (or assuring the enforceability of in the future) the terms of this Agreement.
CONSENT OF SPOUSES. I acknowledge that I have read the foregoing Limited Liability Company Operating Agreement of Mr. Mxxxx LLC, a Delaware limited liability company (the “Company”), that I know its contents, that I consent thereto and agree to be bound by its terms, and that I have had the opportunity to consult my own counsel with respect to the Agreement. I am aware that by its provisions, among other things, my spouse agrees that transfer of his interests in the Company, including my community property interest therein (if any), is restricted in certain ways. I hereby consent to such restrictions, approve of the provisions of the Agreement, and agree that if I pre-decease my spouse, the successors of my community property interest (if any) in such Interests shall hold such Interests subject to the provisions of the Agreement.
CONSENT OF SPOUSES. Each Seller shall cause his spouse to execute and deliver a separate consent and agreement in substantially the form attached hereto as EXHIBIT J or --------- otherwise reasonably acceptable to the Purchaser and such Seller (a "Spousal ------- Consent"). ------- * * * * * * *
CONSENT OF SPOUSES. Each of Seller 13, Seller 19, Seller 22, Seller 28, Seller 29, Seller 30, Seller 32, Seller 33, Seller 34, Seller 38, Seller 40, Seller 41, Seller 42, Seller 43, Seller 46 and Seller 47 delivered written declarations of their respective spouses (Ehegatten) granting consent to the execution of this Agreement and the transactions contemplated hereunder in accordance with the provisions of applicable matrimonial law. A copy of each of such declarations is attached hereto as Exhibit 2.4. To the extent applicable matrimonial law would require consent as referred to in sentence 1 of this clause 2.4 from any of the other Sellers if they were married, such other Sellers hereby confirm that (i) they are not married, and (ii) will comply with the obligation in sentence 1 of this clause 2.4 if they are getting married in the period from the Signing Date to the Closing Date.
