Consent Required for Assignment. Neither the Director nor the Company shall assign all or any portion of this Agreement without the prior written consent of the other Party.
Consent Required for Assignment. Neither Party may assign any of its rights under this Agreement without the prior written consent of the other Party, which consent shall not unreasonably be withheld; provided, however, that either Party may assign any of its rights hereunder, without such consent, to its parent company, its affiliates, or its bank or other financial institution. No such assignment shall relieve the assignor from any of its obligations hereunder.

Tenant will not assign this Lease in whole or in part, nor sublet all or any part of the Leased Premises, without the prior written consent of Landlord, which consent shall not be unreasonably withheld, delayed or denied after Landlord’s consideration of commercially reasonable criteria for the lease or sublease of space to a prospective tenant. The transfer by whatever means, including operation of law, of a controlling interest in the ownership of Tenant shall be considered an assignment subject to the terms of this Section. Notwithstanding any assignment, Tenant shall remain fully liable for its obligations under this Lease including the payment of rent.

An assignment under the Real Estate Development Marketing Act is a transfer of some or all of the rights, obligations and benefits under a purchase agreement made in respect of a strata lot in a development property, whether the transfer is made by the purchaser under the purchase agreement to another person or is a subsequent transfer. Without the Seller’s prior consent, which consent may be arbitrarily withheld by the Seller, any assignment of the Agreement is prohibited.
Consent Required for Assignment. Permittee shall not assign its interest in this Agreement or in the Property without first obtaining the written consent of City, which City may grant or withhold in its sole discretion. No consent to any assignment waives Permittee’s obligation to obtain City’s consent to any subsequent assignment. An assignment of this Agreement shall require the assignee to assume Permittee's obligations hereunder, and shall not release Permittee from liability hereunder unless City specifically so provides in writing.
