Consents to Transaction. The consummation of the purchase and assumption transaction contemplated by this Agreement does not require Buyer to obtain the prior consent or approval of any person, other than regulatory approval from the appropriate regulatory authorities.
Consents to Transaction. Tyler and the Company shall have received all consents or approvals, and made all applications, requests, notices, and filings with, any person, governmental authority, or governmental agency required to be obtained or made in connection with the consummation of the transactions contemplated by this Agreement, excluding actions required under the HSR Act (which are conditions precedent to closing under Section 7.1), but including the consents of the lenders and third parties set forth in the Company Disclosure Schedule and the Tyler Disclosure Schedule.

Songlines, Outback and OSI shall have received all consents or approvals and made all applications, requests, notices and filings with, any person, governmental authority or governmental agency required to be obtained or made in connection with the consummation of the transactions contemplated by this Agreement. There shall have been obtained from all state and local governments and governmental agencies all approvals and consents necessary to enable Songlines and/or the Partnership, as applicable, to transfer their liquor licenses and permits to Outback, to enable Outback to assume such licenses and permits or to enable Outback to operate restaurants (of the kind and quality customarily operated by Outback) using such permits or licenses. Copies of all consents and approvals received by any party pursuant to this SECTION 8.1 shall be furnished to the other party.
Consents to Transaction. The Company agrees to use its reasonable best efforts to obtain written agreements from each holder of a Company Stock Option to accept the treatment described in Section 1.08(b) with respect to such Company Stock Option.

Except as set forth on Schedule 4.4, no consent, waiver, approval, authorization, Order or Permit of, or declaration or filing with, or notification to, any Person is required in connection with the execution and delivery by Purchaser of this Agreement or the consummation of the transactions contemplated hereby.
Consents to Transaction. The consummation of the transactions contemplated by this Agreement does not require First State Bank or FCG to obtain the prior consent or approval of any person, other than any required regulatory approvals or consents.

The consummation of the transactions contemplated by this Agreement does not require Seller to obtain the prior consent or approval of any person, other than any required approval of bank regulatory authorities and the consent of the lessor under the Lease. Seller is the owner of all of the Assets and has the power to transfer good and marketable title to the Assets to the Buyer without obtaining the consent or approval of any other party other than the consent of the lessor under the Lease.
Consents to Transaction. GFS shall have received written consents from each of the parties (other than GFS) to those agreements, leases, notes or other documents requiring such consents, which consents shall in all respects be satisfactory to Purchaser in its sole and absolute discretion
Consents to Transaction in respect of each contract that provides that the consent of any party thereto is required as a result of the entering into of this Agreement or the consummation of the transactions contemplated hereby, copies of any necessary consents;
