Construction and Interpretation of Contract. 29.9.1 The language in all parts of this Contract or any other Contract Documents shall in all cases be construed simply, as a whole and in accordance with its fair meaning and not strictly for or against any party. Each party acknowledges and agrees that it has the requisite experience and sophistication to understand, interpret and agree to the particular language of the provisions hereof.

Construction and Interpretation of Contract. Documents 5 1.3.1 Interpretation 6 The language in all parts of the Contract Documents shall in all cases be construed 7 simply, as a whole and in accordance with its fair meaning and not strictly for or against 8 any Party. The Parties acknowledge and agree that the Contract Documents are the 9 product of an extensive and thorough, arm’s length exchange of ideas, questions, 10 answers, information and drafts during the Proposal preparation process, that each Party 11 has been given the opportunity to independently review the Contract Documents with 12 legal counsel, and that each Party has the requisite experience and sophistication to 13 negotiate, understand, interpret and agree to the particular language of the provisions of 14 the Contract Documents. Accordingly, in the event of an ambiguity in or Dispute 15 regarding the interpretation of the Contract Documents, the Contract Documents shall not 16 be interpreted or construed against the Party preparing it, and instead other rules of 17 interpretation and construction shall be utilized. ADOT’s final answers to the questions 18 posed during the Proposal preparation process for this Agreement shall in no event be 19 deemed part of the Contract Documents and shall not be relevant in interpreting the 20 Contract Documents except as they may clarify provisions otherwise considered 21 ambiguous.

  • Construction and Interpretation Should any provision of this Agreement require judicial interpretation, the parties hereto agree that the court interpreting or construing the same shall not apply a presumption that the terms hereof shall be more strictly construed against one party by reason of the rule of construction that a document is to be more strictly construed against the party that itself, or through its agent, prepared the same, and it is expressly agreed and acknowledged that Company and Executive and each of his and its representatives, legal and otherwise, have participated in the preparation hereof.
