Continued Employment of Key Executives. Neither the chief executive officer nor the chief operating officer of the Company shall have advised Parent or the Company that he intends to terminate his employment with the Company following the Merger for any reason other than death or disability.

Continued Employment of Key Executives. The chief executive officer and other executive employees of the Company designated in writing by Parent on or before the date of this Agreement shall have agreed to continue their employment with the Company following the Merger on such terms as are mutually satisfactory to Parent and such employees.
Continued Employment of Key Executives. There shall not have been since the date hereof any termination of employment (excluding any termination due to death or disability) involving the Chief Executive Officer or a majority of the other executive officers of the Company as of the date hereof, or any notice or announcement that such Chief Executive Officer or a majority of such other executive officers of the Company as of the date hereof will not continue their employment with the Surviving Corporation after the Merger.

  • Compensation Following Termination of Employment In the event that Executive's employment hereunder is terminated, Executive shall be entitled to the following compensation and benefits upon such termination:

  • Employment of Executive Employer hereby agrees to employ Executive, and Executive hereby agrees to be and remain in the employ of Employer, upon the terms and conditions hereinafter set forth.

  • Term; Termination of Employment The term of this Agreement (the “Term”) begins on the Effective Date and will end, along with Executive’s employment with the Company, on the earliest to occur of the following events.
