Common use of Continued Service Clause in Contracts

Continued Service. The Indemnitee will serve or continue to serve as a director or an officer of the Company or in each such Authorized Capacity of or for Another Entity, in each case so long as he or she is duly elected and qualified to serve in such capacity or until he or she resigns or is removed. The Indemnitee may at any time and for any reason resign from such position (subject to any contractual obligations which Indemnitee shall have assumed apart from this Agreement) and neither the Company nor any affiliate of the Company shall have any obligation under this Agreement to continue the Indemnitee in any such position.

Continued Service. The Indemnitee will serve or continue to serve as a director or and/or an officer of the Company or and/or in each such Authorized Capacity of or for Another EntityEntity in which he or she presently serves, in each case so long as he or she is duly elected and qualified to serve in such capacity or until he or she resigns or is removed. The Indemnitee may at any time and for any reason resign from such position (subject to any contractual obligations which Indemnitee shall have assumed apart from this Agreement) and neither the Company nor any affiliate of the Company shall have any obligation under this Agreement to continue the Indemnitee in any such position2 2.

Continued Service. The Indemnitee will serve or continue to serve as a director or an officer of the Company (or both) or in each such Authorized Capacity of or for Another EntityEntity in which the Indemnity presently serves (or both), as well as in such additional Authorized Capacities for the 2 Company or Another Entity as the Board of Directors of the Company (the "Board") may request, in each case so long as he or she is duly elected and qualified to serve in such capacity or until he or she resigns or is removed. The Indemnitee may at any time and for any reason resign from such position (subject to any contractual obligations which Indemnitee shall have assumed apart from this Agreement) and neither the Company nor any affiliate of the Company shall have any obligation under this Agreement to continue the Indemnitee in any such position.

Continued Service. The Indemnitee will serve or continue to serve serve, at the will of the Company and under separate contract, if such exists, as a director or and/or an officer of the Company or in each such Authorized Capacity of or for Another Entity, in each case so long as he or she [he/she] is duly elected and qualified to serve in such capacity or until he or she resigns or is removed. The Indemnitee may at any time and for any reason resign from such position (subject to any contractual obligations which Indemnitee shall have assumed apart from this Agreement) and neither accordance with the Company nor any affiliate Bylaws of the Company shall have any obligation under this Agreement to continue the Indemnitee in any such positionor until [he/she] tenders [his/her] resignation.

Continued Service. The Indemnitee may at any time and for any reason resign removed from such position (subject to any contractual obligations which Indemnitee shall have assumed apart from this Agreement) and neither the Company nor any affiliate of the Company shall have any obligation under this Agreement to continue the Indemnitee office in any such positionaccordance with applicable law.

The Indemnitee may at any , or, in the case of service to Midland, until such time and for any reason resign from such position (subject to any contractual obligations which Indemnitee shall as the transactions contemplated by the Merger Agreement have assumed apart from this Agreement) and neither the Company nor any affiliate of the Company shall have any obligation under this Agreement to continue the Indemnitee in any such positionoccurred.
