Common use of Contractor’s Personnel Clause in Contracts

Contractor’s Personnel. (1) The Authority reserves the right to refuse to admit to the Authority’s Premises any person employed by the Contractor or its sub-contractors, whose admission would be undesirable in the opinion of the Authority. (2) If and when requested by the Authority, the Contractor shall provide a list of the names and addresses of all persons who may at any time require admission in connection with the performance of the Services to the Authority’s Premises, specifying the role in which each such person is concerned with the Contractor and giving such other particulars as the Authority may require. (3) If and when requested by the Authority, the Contractor shall procure from each person identified by the request, a signed statement that he understands that the Official Secrets Acts 1911 to 1989 applies to him both during the carrying out and after expiry or termination of the Contract and that he will comply with the provisions of those Acts in so far as they apply to the work he is performing under the Contract. (4) If and when requested by the Authority the Contractor agrees that it will submit any person employed by the Contractor or its sub contractors to the Authority’s security vetting procedure. The Contractor further agrees that any individual who refuses to submit to such vetting procedure or does not attain the clearance it affords will not carry out any work on the Contract which the Authority certifies as suitable only for people who have passed its security vetting procedure. (5) If the Contractor fails to comply with paragraph (2) (3) or (4) of this Condition and the Authority decides that such failure is prejudicial to its interests, the Authority may immediately terminate the Contract by notice in writing to the Contractor, provided that such termination shall be without prejudice to any accrued rights of, or to any rights that shall accrue thereafter to, the Authority.

If and when requested directed by the Authority, the Contractor shall procure from each secure that any person identified employed or engaged by the requestContractor or by a Sub-Contractor, who is specified in the direction or is one of a signed class of persons who may be so specified, shall sign a statement that he understands that the Official Secrets Acts 1911 to 1989 applies apply to him both during the carrying out term of and after the expiry or termination of the Contract and that he will comply with the provisions of those Acts in so far as they apply to the work he is performing under the this Contract. 23.5. The Contractor‟s representatives, engaged within the boundaries of a Government establishment, shall comply with such rules, regulations and requirements (4including those relating to security arrangements) If as may be in force from time to time for the conduct of personnel when at that establishment and when requested by the Authority the Contractor agrees outside that it will submit any person employed by the Contractor or its sub contractors to the Authority’s security vetting procedure. The Contractor further agrees that any individual who refuses to submit to such vetting procedure or does not attain the clearance it affords will not carry out any work on the Contract which the Authority certifies as suitable only for people who have passed its security vetting procedureestablishment. (5) 23.6. If the Contractor fails shall fail to comply with paragraph (2) (3) or (4) of this Condition 23.2 and if the Authority decides (whose decision shall be final and conclusive) shall decide that such failure is prejudicial to its interests, the interests of the Authority and if the Contractor does not comply with the provisions of Condition 23.2 within a reasonable time of written notice so to do then the Authority may immediately terminate the this Contract by notice in writing to the Contractor, accordance with Condition 28 provided always that such termination shall be without not prejudice or affect any right of action or remedy which shall have accrued or shall thereafter accrue to any accrued rights of, or to any rights that shall accrue thereafter to, the Authority. 23.7. The decision of the Authority as to whether any person is to be refused admission to any premises occupied by or on behalf of the Authority and as to whether the Contractor has failed to comply with Condition 23.2 shall be final and conclusive.

Contractor’s Personnel. (1) 8.1. The Contractor will employ sufficient numbers of appropriately trained and experienced staff as agreed to provide the Services. 8.2. The Authority reserves will require the right Contractor to refuse to admit to the Authority’s Premises make rigorous security checks on any person employed under its control used to provide the Services. It will be for the Contractor to satisfy the Authority that persons under its control do not represent a security risk. The Authority will make available its own facilities for use by the Contractor or in making such security checks but may also conduct its sub-contractors, whose admission would own checks on any persons under its control without notice. The Contractor agrees to make available whatever information may be undesirable required in order to conduct such checks. If the opinion arrangements without the prior agreement of the Authority. Some areas of police sites are likely to contain confidential material and the Authority itself will undertake further rigorous checks and impose stringent requirements upon staff who will work in such areas. The Authorised Officer shall be entitled (but not unreasonably or vexatiously) to require the Contractor shall provide a list by notice in writing, to remove from provision of the names and addresses service any person under the control of all persons the Contractor specified in such notice. 8.4. The Authority may refuse to admit any person to the Premises who may at any time require admission are under the control of the Contractor in connection with this Contract whose admission in the performance reasonable opinion of the Services Authority would not be desirable. Such refusal may be given without reasons and at the entire discretion of the Authority. The Contract shall not be frustrated nor shall any claims arise from the Authority exercising the above rights of refusal. 8.5. The Authority shall not be liable either to the Authority’s PremisesContractor or the employee in respect of any liability, specifying the role in which each loss or damage occasioned by such person is concerned with the Contractor removal and giving such other particulars as the Authority may require. (3) If and when requested by the Authority, the Contractor shall procure from each person identified by the request, a signed statement that he understands that the Official Secrets Acts 1911 to 1989 applies to him both during the carrying out and after expiry or termination of the Contract and that he will comply with the provisions of those Acts in so far as they apply to the work he is performing under the Contract. (4) If and when requested by fully indemnify the Authority the Contractor agrees that it will submit against any person employed claim made by the Contractor or its sub contractors to the Authority’s security vetting procedure. The Contractor further agrees that any individual who refuses to submit to such vetting procedure or does not attain the clearance it affords will not carry out any work on the Contract which the Authority certifies as suitable only for people who have passed its security vetting procedureemployee.
