Control of Actions and Proceedings. In the event that a third party claim is instituted against an Indemnified Party for which such party may claim indemnification under this Agreement, such Indemnified Party promptly shall tender the defense of such claim to the Indemnifying Party by written notice thereto. If the Indemnifying Party notifies the Indemnified Party within thirty (30) days after receipt of such notice that the Indemnifying Party will defend the third party claim, the Indemnifying Party shall defend the claim at its sole cost and expense. If the Indemnifying Party refuses to accept the tender of the defense or does not notify the Indemnified Party that the Indemnifying Party will defend the claim within such thirty (30) day period, the Indemnified Party shall reasonably defend the claim at the Indemnifying Party's sole cost and expense. The party not controlling the defense may participate in the defense of any matter at its own expense. The party which controls the defense of a third party claim shall not settle or compromise such claim in a manner which may result in liability to the other party without its written consent, which consent shall not be unreasonably withheld. The Purchaser Indemnified Parties and the Shareholder Indemnified Parties agree to cooperate with each other with regard to the defense of third party claims.

Control of Actions and Proceedings. Parent shall be entitled to fully control the defense and settlement of any claim by a third party against Company even though such claim is or may be covered by the indemnification provisions hereof; provided, however, that Parent shall not settle or compromise any third party claim which is the subject of a claim against the Escrow without the written consent of the Representative, which consent will not be unreasonably withheld; and provided further that Parent may nevertheless settle or compromise any such third party claim without the Representative's written consent if the failure to so settle or compromise in a timely manner will in the reasonable judgment of Parent materially and adversely affect Parent or Company (any such settlement shall not prejudice the rights of any party to maintain that such settlement should not result in a claim for indemnification in the amount of the settlement or at all).
Control of Actions and Proceedings. Promptly after receipt of notice of any claim, liability or expense for which a party seeks indemnification hereunder, such party shall give written notice thereof to the indemnifying party, but such notification shall not be a condition to indemnification hereunder except to the extent of actual prejudice to the indemnifying party. The notice shall state the information then available regarding the amount and nature of such claim, liability or expense and shall specify the provision or provisions of this Agreement under which the liability or obligation is asserted. If within 30 days after receiving such notice the indemnifying party gives written notice to the indemnified party stating that it intends to defend against such claim, liability or expense at its own cost and expense, then defense of such matter, including selection of counsel (subject to the consent of the indemnified party, which consent shall not be unreasonably withheld) and all settlement discussions, shall be by the indemnifying party and the indemnified party shall not make any payment on such claim, liability or expense as long as the indemnifying party is conducting a good faith and diligent defense. Notwithstanding the foregoing, the indemnified party shall at all times have the right to fully participate in such defense and all settlement discussions at its own expense directly or through counsel; provided, however, that if the named parties to the action or proceeding include both the indemnifying party and the indemnified party and representation of both parties by the same counsel would be inappropriate under applicable standards of professional conduct, the expense of separate counsel for the indemnified party shall be paid by the indemnifying party. If no such notice of intent to dispute and defend is given by the indemnifying party, or if such diligent good faith defense is not being or ceases to be conducted, the indemnified party shall, at the expense of the indemnifying party, undertake the defense of such claim, liability or expense with counsel selected by the indemnified party, and shall have the right to compromise or settle the same in the exercise of reasonable business judgment. The indemnified party shall make available all information and assistance that the indemnifying party may reasonably request and shall cooperate with the indemnifying party in such defense.

The Trust will make every reasonable effort to prevent the issuance of any such stop order, cease and desist order or similar order and, if any such order is issued, to obtain the lifting thereof at the earliest possible time.

  • Suits and Proceedings To Seller’s Knowledge, except as listed in Exhibit H, there are no legal actions, suits or similar proceedings pending and served, or threatened in writing against Seller or the Property which (i) are not adequately covered by existing insurance and (ii) if adversely determined, would materially and adversely affect the value of the Property, the continued operations thereof, or Seller’s ability to consummate the transactions contemplated hereby.
