Cooperation by Parties. PNM and Comverge believe it to be in their joint interest that the Program achieves a high degree of success and reaches the maximum possible number of Prospects. Accordingly, PNM and Comverge intend that, during the Term of the Agreement, PNM shall, subject to the terms and conditions of this Agreement and of all applicable regulatory requirements which may exist during the Term of this Agreement, use its best efforts to support and work with Comverge including, without limitation, PNM Marketing Approval and obligations in Appendix C, to offer and provide to the customers of PNM in PNM’s service territory the electrical load control services described in this Agreement.
Cooperation by Parties. CL&P and AER believe it to be in their joint interest that the Program achieves a high degree of success and reaches the maximum possible number of Participants. Accordingly, CL&P and AER intend that, during the Term of the Agreement, CL&P shall, subject to the terms and conditions of this Agreement and of all applicable regulatory requirements which may exist during the Term of this Agreement, use commercially reasonable efforts to support and work with AER in connection with this Agreement.
Cooperation by Parties. Authority and Developer shall fully and completely cooperate with each other related to such Relocation, including, without limitation, by, if reasonably requested by Authority, phasing the work of rehabilitation for an applicable Phase in such manner as to reasonably enable the relocation of tenants from units requiring rehabilitation to units already rehabilitated in that Phase or a prior Phase, as applicable, subject to the Tax Credit Rules and Regulations and to mutually acceptable Tenant screening criteria.
Cooperation by Parties. The Parties hereby acknowledge that Merisel’s auditors and other outside professionals may need to inquire into various matters arising during the period that Mx. Xxxxxx was CEO and President of Merisel. All Parties hereby covenant and agree to provide reasonable cooperation to such professionals as requested.
Cooperation by Parties. The Parties will cooperate in (a) obtaining, making, giving or doing, and maintaining in full force and effect, each authorization, approval, permit, consent, franchise and license from, registration and filing with, declaration, report and notice to and other act by or relating to any court, agency or other governmental body necessary for the execution, delivery and performance by the Parties of this Agreement or the conduct of the Program and (b) to the fullest extent allowed by and in accordance with applicable law, sharing information about potential applicants and applicants for and recipients of Residential Mortgage Credit.
Cooperation by Parties. With respect to all matters covered by ---------------------- this Agreement, the parties agree to use their good faith efforts to cooperate with each other and to provide to the other party such information as may be reasonably requested regarding these matters, including providing access to and the right to copy, at the requesting party's expense and during normal business hours, all relevant data, records, studies, reports or other documents. Buyer and Sellers further agree to provide each other reasonable access to their respective properties and employees, on a mutually convenient basis. Such access to employees may include interviews or attendance at depositions or legal or administrative proceedings or meetings and conferences with governmental agencies.
Cooperation by Parties. Landlord will cooperate with Tenant in executing an agreement substantially in accordance with this Agreement and naming the specific Lender, if required by the Lender, and executing any estoppel certificate, acknowledgment or similar document reasonably required by Tenant and the Lender in connection with financing obtained by Tenant. Landlord agrees to execute, acknowledge (if appropriate), and deliver any agreements clarifying or modifying this Lease and reasonably required by Tenant and Lender, provided that any such modification shall not in any way cause any material diminishment of Tenant’s obligations or Landlord‘s rights and remedies pursuant to the Lease.
Cooperation by Parties. The parties hereby agree to use their best efforts and good faith in the performance of this Contract and to cooperate with each other in the completion of the Work hereunder. The Contractor further agrees to implement such measures as may be necessary to ensure that its staff and its Subcontractors shall be bound by the provisions of this Contract.

Accordingly, NPC and Comverge intend that, during the Term of the Agreement, the Parties shall, subject to the terms and conditions of this Agreement and of all applicable regulatory requirements which may exist during the Term of this Agreement work together in good faith to offer and provide to the customers of NPC the services described in this Agreement.
