Cooperation of Buyer. Buyer shall cooperate with all reasonable requests of the Company and Company's counsel in connection with the consummation of the Transactions.
Cooperation of Buyer. Buyer shall provide relevant and accurate information to the Company and shall cooperate with the Company in the preparation and submission of the registration statement.

Cooperation of Buyer. During the period that Sellers are entitled to defend any Claim pursuant to section 9.4, Buyer shall (but at the expense of Sellers) co-operate with Sellers in connection with the defence of such Claim and shall provide Sellers with access to and copies of all relevant books and records relating to such Claim provided that if Buyer re-assumes the defence of such Claim as provided in subsection 9.4.5, all such information and material shall be forthwith returned to Buyer.
Cooperation of Buyer. Buyer shall, prior to Closing, use its Best Efforts to:
(a) cooperate with Sellers and assist Sellers in identifying the Governmental Authorizations required by Buyer to operate the Acquired Business from and after the Closing Date and either transferring existing Governmental Authorizations of Sellers to Buyer, where permissible, or assisting Buyer in obtaining new Governmental Authorizations for Buyer's operation of the Acquired Business; and
(b) upon reasonable request from time to time, execute and deliver all documents, make all truthful oaths, testify in any Proceedings and do all other acts that may be reasonably necessary or desirable in the opinion of Sellers to consummate the Contemplated Transactions, all without further consideration.
Cooperation of Buyer. Whenever this Agreement requires the Sellers or the Equity Owners to cause or permit the Acquired Companies (or any of them) to take any action or refrain from taking any action, Parent and Buyer shall cooperate with the Sellers and the Equity Owners in connection with taking such action or refraining from taking such action, including providing or obtaining all necessary approvals or consents that may be required under the Organizational Documents of the Acquired Companies. Unless such expense is expressly described as a Buyer or Parent expense, any expense related to matters described in Sections 6.2, 6.4, 6.12, 6.14, 6.15 and 6.16 shall be an expense of the Acquired Companies and not a Transaction Expense, except to the extent the Sellers or the Equity Owners incur professional fees for advice relating to their respective obligations under such sections and the preparation of Schedules or Exhibits to this Agreement.
Cooperation of Buyer. Buyer shall cooperate with all reasonable requests of Seller and its Representatives in connection with the consummation of the transactions contemplated hereby, including without limitation using its best efforts to obtain all authorizations, consents and permits of others which may be required to permit the consummation of the transactions contemplated by this Agreement. Until the Closing Date, Buyer will promptly advise Seller in a detailed written notice of any fact or occurrence or any pending or threatened occurrence of which it obtains Knowledge and which (if existing and Known at the date of the execution of this Agreement) would have been required to be set forth or disclosed in or pursuant to this Agreement or in a Disclosure Schedule, which (if existing and Known at any time prior to or at the Closing Date) would make the performance by any party of a covenant contained in this Agreement impossible or make such performance materially more difficult than in the absence of such fact or occurrence.
Cooperation of Buyer. Buyer shall cooperate with all reasonable requests of the Sellers and their respective Representatives in connection with the consummation of the transactions contemplated hereby, including without limitation using its best efforts to obtain all authorizations, consents and permits of others which may be required to permit the consummation of the transactions contemplated by this Agreement.
Cooperation of Buyer. Buyer shall cooperate with Seller in all matters relating to the actual or potential obligations or liabilities of Seller in connection with any Environmental Law (including, without limitation, Seller's compliance with any judicial or administrative notice or order issued under the authority of any Environmental Law) in respect of the Real Property of CRSI and the Subsidiaries; such cooperation shall include but not be limited to providing Seller with access to all locations and facilities reasonably necessary for environmental monitoring, and providing Seller access to all information reasonably requested by Seller (including providing Seller with all Phase I and Phase II environmental reports caused to be prepared by Buyer (or, after the Closing, by CRSI or any subsidiary thereof) in respect of any Real Property promptly after receipt thereof) concerning the origin, amounts, concentrations, chemical contents, and fate and transport of any Hazardous Materials.
