Cooperation With Investigations/Litigation. Executive agrees, upon Company’s request, to reasonably cooperate both during and after Executive’s employment with Company in any Company investigation, litigation, arbitration, or regulatory proceeding regarding events that occurred during Executive’s tenure with Company. Executive will make himself reasonably available to consult with Company’s counsel, to provide information, and to appear to give testimony. Company will reimburse Executive for reasonable out-of-pocket expenses Executive incurs in extending such cooperation, so long as Executive provides advance written notice of Executive’s request for reimbursement and provides satisfactory documentation of the expenses.
Cooperation With Investigations/Litigation. Employee agrees, upon Employer’s request and for a reasonable period following the Separation Date, to reasonably cooperate in any Employer investigation, litigation, arbitration, or regulatory proceeding regarding events that occurred during Employee’s tenure with Employer. Employee will make himself reasonably available to consult with Employer’s counsel, to provide information, and to appear to give testimony. Employer will, to the extent permitted by law and applicable court rules, reimburse Employee for reasonable out-of-pocket expenses (including, without limitation, reasonable attorneys’ fees and costs) Employee incurs in extending such cooperation, so long as Employee provides advance written notice of Employee’s request for reimbursement and provides reasonably satisfactory documentation of the expenses.

The Executive agrees, at the Company’s request, to reasonably cooperate, by providing truthful information, documents and testimony, in any Company investigation, litigation, arbitration, or regulatory proceeding regarding events that occurred during his employment with the Company. The Executive’s requested cooperation may include, for example, making himself reasonably available to consult with the Company’s counsel, providing truthful information and documents, and to appear to give truthful testimony. The Company will, to the extent permitted by applicable law and court rules, reimburse the Executive for reasonable out-of-pocket expenses that he incurs in providing any requested cooperation, so long as he provides advance written notice to the Company of such request for reimbursement and provide satisfactory documentation of the expenses. Nothing in this section is intended to, and shall not, preclude or limit the Executive’s preserved rights described in section 9 below.

Nothing in this section is intended to, and shall not, preclude or limit your preserved rights described in section 13 below.

Employee agrees, upon Xxxxxxxx’s request, to reasonably cooperate both during and after Employee’s employment with Employer in any investigations, litigation, arbitration, or regulatory proceedings relating to any events that occurred during Employee’s employment with Employer. Employee will be reasonably available to consult with Employer’s counsel, to provide information, and (to the extent requested) to appear to give truthful testimony. Employer will reimburse Employee for reasonable out-of- pocket meal and travel expenses Employee incurs in extending such cooperation, so long as Employee provides advance written notice of Employee’s request for reimbursement and provides satisfactory documentation of the expenses. Cooperation With Investigations/Litigation. Executive agrees at all times to be reasonably cooperative, by providing truthful information, documents and testimony, in any Company investigation, litigation, arbitration, or regulatory proceeding regarding events that occurred during the Executive’s employment with the Company or any of its affiliates. The Executive’s requested cooperation may include, for example, making himself reasonably available to consult with the Company’s representatives or counsel, providing truthful information and documents, and appearing for the purpose of giving truthful testimony. The Company will, to the extent permitted by applicable law and court rules, and in each case, subject to the Executive providing advance written notice and satisfactory documentation for the time/expense to the Company, (a) reimburse the Executive for his reasonable out-of-pocket expenses; and (b) pay the Executive a reasonable hourly rate for his time, taking into account the Executive’s background and experience as a senior officer of the Company, if the request for the Executive’s time is not de minimis and the requested time does not coincide with a period when the Executive is already receiving payment from the Company pursuant to a consulting agreement.

Nothing in this paragraph is intended to, and shall not, restrict or limit you from providing truthful information in response to a subpoena, other legal process or valid governmental inquiry.

Employee agrees to reasonably cooperate in any Company investigations and/or litigation regarding events which occurred during Employee’s tenure with Employer. Employer will compensate Employee for reasonable expenses Employee incurs in extending such cooperation, so long as Employee provides advance written notice of Employee’s request for compensation.
Cooperation With Investigations/Litigation. Executive agrees to reasonably cooperate in any Company investigations and/or litigation regarding events which occurred during Executive’s tenure with the Company, whether civil, criminal, or administrative in nature; provided that such cooperation shall not, in Executive’s determination, unreasonably interfere with any future employment or engagement. The Company will reimburse Executive at the hourly rate of Three Hundred ($300) Dollars per hour and for her reasonable out-of-pocket expenses incurred by Executive in extending such cooperation.

Employer will compensate Executive for reasonable expenses that Executive incurs in extending such cooperation to Company, so long as Executive provides advance written notice of Executive’s request for compensation.
