Common use of Copies of Resolutions Clause in Contracts

Copies of Resolutions. At the First Closing and the Second Closing, the Company shall have furnished Purchaser with Certified copies of resolutions duly adopted by the Board of Directors of the Company and the Stockholder authorizing the execution, delivery, and performance of the terms of this Agreement and all other necessary or proper corporate action to enable the Company to comply with the terms of this Agreement.

Copies of Resolutions.
