Covenant of Non-Interference. During the Employment Period and for a period of one (1) year thereafter, with respect to any person or entity which is a then current employee, consultant, customer, or vender of the Bank, the Parent or any of the Affiliates, the Executive shall not, whether for his own account or for the account of any third party, interfere with the relationship of the Bank, the Parent or such Affiliate with such person or entity, or endeavor to entice such person or entity to cease being an employee, consultant, customer or vendor of the Bank, the Parent or such Affiliate.
Covenant of Non-Interference. Between the date of this Agreement and the Closing Date, management and control of the Radio Stations shall be the sole responsibility of, and in the complete discretion of Seller, subject to Section 4.1 of this Agreement. It is further understood and agreed that, effective as of the Closing Date, and thereafter, Seller shall have no control over, nor right to intervene in, nor participate in, the operation of the Radio Stations, nor to supervise any programs on the Radio Stations.
Covenant of Non-Interference. The Executive covenants and agrees that during the Term hereof and for one (1) year thereafter he will not, whether for his own account or for the account of any other person, firm, corporation or other business organization, interfere with SysComm' relationship with, or endeavor to entice away from SysComm or diminish SysComm's business activities with, any person, firm, corporation or other business organization who or which at any time during the term of the Executive's employment with SysComm was an employee, consultant, agent, supplier, or a customer of, or in the habit of dealing with, SysComm.
Covenant of Non-Interference. The Employee covenants and agrees that during the Term hereof and for five (5) years thereafter he will not, whether for his own account or for the account of any other person, firm, corporation or other business organization, interfere with the Company's relationship with, or endeavor to entice away from the Company, any person, firm, corporation or other business organization who or which at any time during the term of the Employee's employment with the Company or for three (3) years preceding such employment, was an employee, consultant, agent, supplier, or a customer of, or in the habit of dealing with, the Company.
Covenant of Non-Interference. Husband and Wife hereby agree that, henceforth, neither of them will, in any manner, molest or interfere with the personal rights, liberties, privileges or affairs of the other, and each shall, henceforth, live his or her own personal life as he or she may see fit, unrestricted in any manner by the marriage and relationship previously existing between them.
Covenant of Non-Interference. The Executive covenants and agrees that during the Term hereof and for two (2) years thereafter he will not, whether for his own account or for the account of any other person, firm, corporation or other business organization, interfere with the Company's relationship with, or endeavor to entice away from the Company, any person, firm, corporation or other business organization who or which at any time during the term of the Executive's employment with the Company was an employee, consultant, agent, supplier, or a customer of, or in the habit of dealing with, the Company.
Covenant of Non-Interference. 8.1 Non Interference by Participating ULB
(a) The Participating ULB covenants with Concessionaire that Participating ULB or any of its officers, employees or workmen shall not, at any time, during the Term of this Agreement interfere with or obstruct in the functioning, running and the overall management of the Project and in any matter in relation to or connected therewith.
(b) A Participating ULB shall have no right, title or interest to the technology that would be used by Concessionaire in the development, operation and maintenance of the Regional MSW Facility. Each Participating ULB agrees that any technology that may be employed by Concessionaire in the development, operation and maintenance of the Regional MSW Facility would be proprietary technology obtained under specific license and the Participating ULB hereby undertakes that it shall not violate or cause a breach of the license arrangements of Concessionaire for such technology.
(c) However, the technologies adopted by the Concessionaire have to be accepted and approved by the State Govt. / ULB before being adopted in processing of the MSW.
8.2 Site Visits by Participating ULB
Covenant of Non-Interference. 27.1 Non- Interference by State Govt.
(a) State Govt. covenants with Concessionaire that State Govt. or any of its officers, employees or workmen shall not, at any time, during the Term of this Agreement interfere with or obstruct in the functioning, running and the overall management of the Project and in any matter in relation to or connected therewith.
(b) State Govt. shall have no right, title or interest to the technology that would be used by Concessionaire in the development, operation and maintenance of the Regional MSW Facility. State Govt. agrees that any suitable technology that may be employed by Concessionaire in the development, operation and maintenance of the Regional MSW Facilities would be proprietary technology obtained under specific license and State Govt. hereby undertakes that it shall not violate or cause a breach of the license arrangements of Concessionaire for such technology.
(c) However, the technologies adopted by the Concessionaire have to be accepted and approved by the State Govt. / ULB before being adopted in processing of the MSW.
27.2 Non- Interference by the Participating ULBs
(a) The participating ULBs covenants with Concessionaire that the ULBs or any of their officers, employees or workmen shall not, at any time, during the Term of this Agreement interfere with or obstruct in the functioning, running and the overall management of the Project and in any matter in relation to or connected therewith.
(b) The participating ULBs shall have no right, title or interest to the technology that would be used by Concessionaire in the development, operation and maintenance of the Regional MSW Facility. ULBs agree that any technology that may be employed by Concessionaire in the development, operation and maintenance of the Regional MSW Facilities would be proprietary technology obtained under specific license and the ULBs hereby undertake that they shall not violate or cause a breach of the license arrangements of Concessionaire for such technology.
Covenant of Non-Interference. Permittee shall conduct its operations in, on or about Airport in such manner as to reduce as much as is reasonably practicable, considering the nature and extent of said operations, any and all activities which interfere unreasonably with the use of other premises at or near Airport, including, but not limited to, the emanation of noise, vibration, movements of air, fumes and odors.
Covenant of Non-Interference. In the event that HNRC removes ------------------------------ Overburden from Stockpiles situated upon either the Hospah Owned Property or the SFPMC Leased Property, for use in connection with the Landfill Project, HNRC shall conduct such removal operations so as not to materially interfere with or cause a Material Adverse Effect upon the operations of the Mesquite Mine.
