Damages and Equitable Relief. Notwithstanding the provisions of Section 12.2(b) above, nothing contained in this Agreement shall be deemed to limit or restrict the right of any party hereto from seeking such monetary damages and/or equitable remedies (including injunctive relief) as may be available from any court of competent jurisdiction in the event of a breach by any other party or parties of any material covenant on its or their part contained in the AUGI Notes, the Registration Rights Agreement, the Non-Competition and Non-Disclosure Agreement and/or the Employment Agreements.

Damages and Equitable Relief. In the event of a breach or threatened breach by the Seller or the Restricted Person of its covenants under Section 10.08 hereof, such Restricted Person acknowledges that Buyer may not have an adequate remedy at law for money damages. Accordingly, in the event of such breach or threatened breach, Buyer will be entitled to such equitable and injunctive relief as may be available to restrain the Restricted Person from the violation of the provisions of said Section 10.08 in addition to any other remedy to which Buyer may be entitled, at law or in equity, for such breach or threatened breach.
Damages and Equitable Relief. XXXXXXX agrees that if he breaches any warranty or any provision of this Agreement relating to confidentiality, ownership of property (including intellectual property), non-competition or non-solicitation, the injury to AEON from any such breach would be impossible to calculate, and that money damages would therefore be an inadequate remedy for any such breach. Accordingly, XXXXXXX agrees that if he breaches any warranty or any provision of this Agreement relating to confidentiality, ownership of property (including intellectual property), non-competition or non-solicitation, then AEON shall be entitled, in addition to any other remedies which AEON may have, to an injunction or other appropriate order to restrain any continuation of such breach by XXXXXXX, and that such injunction or other appropriate order be issued without the requirement that AEON post any bond. AEON shall also be entitled to recover its reasonable attorney fees and costs incurred to enforce the obligations of XXXXXXX hereunder.
Damages and Equitable Relief. (a) Each of Seller and each of the Owners, severally and not jointly, acknowledges and agrees that any breach of Sections 9.9, 9.10 and/or 9.11 by such party will cause the Business and Buyer irreparable injury and damage. EMPLOYEE FURTHER UNDERSTAND THAT THIS AGREEMENT TO ARBITRATE ALSO APPLIES TO ANY DISPUTES THAT THE COMPANY MAY HAVE WITH EMPLOYEE.

  • Damages; Relief Termination of this Agreement shall not preclude either Party from claiming any other damages, compensation or relief that it may be entitled to upon such termination.

  • Injunctive Relief and Additional Remedy The Executive acknowledges that the injury that would be suffered by the Employer as a result of a breach of the provisions of this Agreement (including any provision of Sections 7 and 8) would be irreparable and that an award of monetary damages to the Employer for such a breach would be an inadequate remedy. Consequently, the Employer will have the right, in addition to any other rights it may have, to obtain injunctive relief to restrain any breach or threatened breach or otherwise to specifically enforce any provision of this Agreement, and the Employer will not be obligated to post bond or other security in seeking such relief. Without limiting the Employer's rights under this Section 9 or any other remedies of the Employer, if the Executive breaches any of the provisions of Section 7 or 8, the Employer will have the right to cease making any payments otherwise due to the Executive under this Agreement.

  • Legal and Equitable Remedies Because my services are personal and unique and because I may have access to and become acquainted with the Proprietary Information of the Company, the Company shall have the right to enforce this Agreement and any of its provisions by injunction, specific performance or other equitable relief, without bond and without prejudice to any other rights and remedies that the Company may have for a breach of this Agreement.
