Debt Factoring. Subject to the Contractor obtaining the prior written consent of the Authority in accordance with clause A6 (Assignment of Contract), the Contractor may assign to a third Party (“the Assignee”) the right to receive payment of the Contract Price or any part thereof due to the Contractor under the Contract (including interest which the Authority incurred through late payment under the Late Payment of Commercial Debts (Interest) Act 1998). Any assignment of the right to receive payment of the Contract Price (or any part thereof) under this clause G3 shall be subject to: reduction of any sums in respect of which the Authority exercises its right of recovery under clause G1.j; all related rights of the Authority under the Contract in relation to the recovery of sums due but unpaid; and the Authority receiving notification under both clauses G3.b and G3.c.(2). In the event that the Contractor obtains from the Authority the consent to assign the right to receive the Contract Price (or any part thereof) under clause G3.a above, the Contractor shall notify the Authority in writing of the assignment and the date upon which the assignment becomes effective. The Contractor shall ensure that the Assignee:

Any assignment of the right to receive payment of the Contract Price (or any part thereof) under this condition 38 shall be subject to:
(1) reduction of any sums in respect of which the Authority exercises its right of recovery under clause 36.f
(2) all related rights of the Authority under the Contract in relation to the recovery of sums due but unpaid; and
(3) the Authority receiving notification under both clauses 38.b and 38.c(2).
b. In the event that the Contractor obtains from the Authority the consent to assign the right to receive the Contract Price (or any part thereof) under clause 38.a, the Contractor shall notify the Authority in writing of the assignment and the date upon which the assignment becomes effective.
c. The Contractor shall ensure that the Assignee:
(1) is made aware of the Authority's continuing rights under clauses 38.a(1) and 38.a(2); and
(2) notifies the Authority of the Assignee's contact Information and bank account details to which the Authority shall make payment, subject to any reduction made by the Authority in accordance with clauses 38.a(1) and 38.a(2).
d. The provisions of condition 36 (Payment and Recovery of Sums Due) shall continue to apply in all other respects after the assignment and shall not be amended without the prior approval of the Authority.

b. In the event that the Contractor obtains from the Authority the consent to assign the right to receive the Contract Price (or any part thereof) under clause G3.a above, the Contractor shall notify the Authority in writing of the assignment and the date upon which the assignment becomes effective.
c. The Contractor shall ensure that the Assignee:
(1) is made aware of the Authority’s continuing rights under clauses G3.a.(1)

(2) all related rights of the Authority under the Contract in relation to the recovery of sums due but unpaid; and
(3) the Authority receiving notification under both clauses G3.b and G3.c.(2).
b. In the event that the Contractor obtains from the Authority the consent to assign the right to receive the Contract Price (or any part thereof) under clause G3.a, the Contractor shall notify the Authority in writing of the assignment and the date upon which the assignment becomes effective.
c. The Contractor shall ensure that the Assignee:
(1) is made aware of the Authority’s continuing rights under clauses G3.a.1 and G3.a.2; and
(2) notifies the Authority of the Assignee’s contact information and bank account details to which the Authority shall make payment, subject to any reduction made by the Authority in accordance with sub-clauses G3.a.(1) and G3.a.(2).
d. The provisions of condition G1 (Payment) shall continue to apply in all other respects after the assignment and shall not be amended without the prior approval of the Authority.
Debt Factoring. 24.1. Subject to the Contractor obtaining the prior written consent of the Authority (using the Model Consent Letter which is available from the Authority on request) in accordance with DEFCON 518 (Transfer) the Contractor may assign to a third party (“the Assignee”) the right to receive payment of the Contract Price or any part thereof due to the Contractor under this Contract (including any interest incurred by the Authority under any Contract clause concerning the late payment of debts).
24.2. Any assignment of the right to receive payment of the Contract Price (or any part thereof) under DEFCON 518 (Transfer) shall be subject to:

Any assignment of the right to receive payment of the Contract Price (or any part thereof) under DEFCON 518 (Transfer) [or insert reference to an equivalent narrative clause] shall be subject to:
a. reduction of any sums in respect of which the Authority exercises its right of recovery under DEFCON 509 (Recovery of Sums Due), or any narrative clause concerning recovery of sums due;
b. all related rights of the Authority under the Contract in relation to the recovery of sums due but unpaid; and
c. the Authority receiving notification under both clause 3 and sub-clause 4(b) below. In the event that the Contractor obtains from the Authority the consent to assign the right to receive the Contract Price (or any part thereof) under clause 1 above, the Contractor shall notify the Authority in writing of the assignment and the date upon which the assignment becomes effective. The Contractor shall ensure that the Assignee:
a. is made aware of the Authority’s continuing rights under sub-clauses 2(a) and 2(b) of this clause [ ] ; and
b. notifies the Authority of the Assignee’s contact information and bank account details, to which the Authority shall make payment, subject to any reduction made by the Authority in accordance with sub-clauses 2(a) and 2(b) above. The provisions of the Contract, including any clauses concerning payment, shall continue to apply in all other respects after the assignment and shall not be amended without the prior approval of the Authority.
Debt Factoring. 33.1 Subject to the Contractor obtaining the prior written consent of the Authority in accordance with DEFCON 518 (Transfer) the Contractor may assign to a third party (“the Assignee”) the right to receive payment of the Contract Price or any part thereof due to the Contractor under this Contract (including any interest incurred by the Authority under any Contract clause concerning the late payment of debts).
33.2 Any assignment of the right to receive payment of the Contract Price (or any part thereof) under DEFCON 518 (Transfer) shall be subject to:
33.2.1 reduction of any sums in respect of which the Authority exercises its right of recovery under DEFCON 509 (Recovery of Sums Due), or any narrative clause concerning recovery of sums due;
33.2.2 all related rights of the Authority under the Contract in relation to the recovery of sums due but unpaid; and
33.2.3 the Authority receiving notification under both clause 33.3 and sub-clause 33.4.2 below.
33.3 In the event that the Contractor obtains from the Authority the consent to assign the right to receive the Contract Price (or any part thereof) under clause 33.1 above, the Contractor shall notify the Authority in writing of the assignment and the date upon which the assignment becomes effective.
33.4 The Contractor shall ensure that the Assignee:
33.4.1 is made aware of the Authority’s continuing rights under sub-clauses 33.2.1 and 33.2.2 of this clause 33; and
33.4.2 notifies the Authority of the Assignee’s contact information and bank account details, to which the Authority shall make payment, subject to any reduction made by the Authority in accordance with sub-clauses 33.2.1 and 33.2.2 above.
33.5 The provisions of the Contract, including any clauses concerning payment, shall continue to apply in all other respects after the assignment and shall not be amended without the prior approval of the Authority.
Debt Factoring. 16.1 Subject to the Contractor obtaining the prior written consent of the Authority in accordance with DEFCON 518 (Transfer) the Contractor may assign to a third party (“the Assignee”) the right to receive payment of the Contract Price or any part thereof due to the Contractor under this Contract (including any interest incurred by the Authority under any Contract clause concerning the late payment of debts).
16.2 Any assignment of the right to receive payment of the Contract Price (or any part thereof) under DEFCON 518 (Transfer) shall be subject to:
a) Reduction of any sums in respect of which the Authority exercises its right of recovery under DEFCON 509 (Recovery of Sums Due), or any narrative clause concerning recovery of sums due;
b) All related rights of the Authority under the Contract in relation to the recovery of sums due but unpaid; and
c) The Authority receiving notification under both clause 16.3 and sub-clause 16.4(b) below.
16.3 In the event that the Contractor obtains from the Authority the consent to assign the right to receive the Contract Price (or any part thereof) under clause 16.1 above, the Contractor shall notify the Authority in writing of the assignment and the date upon which the assignment becomes effective.
16.4 The Contractor shall ensure that the Assignee:
a) Is made aware of the Authority’s continuing rights under sub-clauses 16.2(a) and 16.2(b) of this clause; and
b) Notifies the Authority of the Assignee’s contact information and bank account details, to which the Authority shall make payment, subject to any reduction made by the Authority in accordance with sub-clauses 16.2(a) and 16.2(b) above.
16.5 The provisions of the Contract, including any clauses concerning payment, shall continue to apply in all other respects after the assignment and shall not be amended without the prior approval of the Authority.
