DECLARE. The parties declare their mutual desire to promote the development of research and other academic and scientific institutional activities throughout the mutual assistance in areas such as training, research and institutional development, and considering: The parties have common objectives and interests in the scientific, educational and cultural fields. The parties are precisely institutions that promote the exchange of scientific and cultural knowledge. That the collaboration and the exchange of experiences and knowledge, as well as the rendering of services between both parties are of major interest for their social and cultural progress. For which reasons, they have decided to establish this Framework Agreement for Collaboration between both parties in accordance with the following clauses:
DECLARE. That they are autonomous institutions of higher education, comprised of a community of professors, students, and administrative personnel who are dedicated to teaching, research, social action, study, analysis, artistic creation, and the dissemination of knowledge. That within the framework of this General Agreement for Academic Collaboration and Exchange into which the University of Puerto Rico and the University _______________, institutions of higher education, have entered, they wish to establish a specific foundation of which to encourage academic, scientific, and cultural experiences among professors, students, and administrative personnel. To that effect, the two institutions have decided to enter into a General Academic, Scientific, and Cultural Agreement in accordance with the following clauses:
DECLARE. The Borrower requires a loan for purchasing, through its own branch, Telvent Export, a block of shares from the North American company, DTN Holding Corporation, Inc (“DTN”), which represents 100% of its equity capital (“DTN Shares”).
DECLARE. That the CUSTOMER wants (i) the OWNER to install and operate a photovoltaic power generation system🟓of kW of nominal power (hereinafter, the "System") for the supply of irrigation energy on land of🟓 at least 🟓 shadow-free hectares in , owned by the CUSTOMER(hereinafter referred to as the "Land"),(ii) provided by the OWNER with electrical energy generated by the System in order to have electrical energy to power the CUSTOMER's irrigation system and (iii) where appropriate, benefit from the commercialization in the energy markets of the surplus production. In this act, the CUSTOMER expressly states that there is no claim, cargo, lien or any other type of charge or legal obligation that may be constituted on any element related to the System, the Land, the location, the rights of access or any other that may reasonably affect any element contained in this contract.
