Delay in Shell and Core Delivery. If Shell and Core Delivery occurs after the Guaranteed Delivery Date (as it may be adjusted pursuant to the express terms of this Agreement), then Development Manager shall pay to Owner an amount (the “Delivery Delay Amount”) equal to One Million Four Hundred Twenty-Six Thousand Dollars ($1,426,000) per month (prorated based on the actual number of days in the applicable month to determine a per diem amount) for the period of time that elapses after the Guaranteed Delivery Date until Shell and Core Delivery actually occurs. Such payment, if any, (i) shall be due from Development Manager to Owner within thirty (30) days after Shell and Core Delivery occurs, (ii) shall be in addition to (and not in substitution of) any Development Manager Overrun due from Development Manager to Owner on account of any such delay and (iii) shall be subject to the limitation of liability set forth in Section 11.17(a)(ii). Concurrent with or following payment of any Delivery Delay Amount, Development Manager may deliver a consent to an amendment to the Letter of Credit providing for a reduction in the stated amount of Letter of Credit by the amount of the Delivery Delay Amount paid. Provided that the consent accurately states the amount by which the Letter of Credit shall be reduced, Owner shall execute and return the consent to amendment to Development Manager within seven (7) days after receipt of the consent. If Development Manager fails to pay the Delivery Delay Amount within thirty (30) days after Shell and Core Delivery occurs, then Owner may, without notice to Development Manager, draw upon the Letter of Credit and use the proceeds from such draw to pay Owner the Delivery Delay Amount. No Delivery Delay Amount shall be deemed to be payable hereunder unless Owner has provided written notice to Development Manager specifying the deficiencies in the Shell and Core purporting to create the existence of Development Manager’s obligation to pay the Delivery Delay Amount. Failure by Owner to provide such written notice to Development Manager within seven (7) days after the applicable Guaranteed Delivery Date shall constitute a full and final waiver by Owner to claim such Delivery Delay Amount.   • Delay in Delivery The Seller must deliver the Products to the Company within the schedules as prescribed in the Order or as agreed in the Contract. If the Products are not delivered on the due date then, without prejudice to any other rights which it may have under the Terms and Conditions, the Company reserves the right to: cancel the Order in whole or in part; refuse to accept any subsequent delivery of the Products which the Seller attempts to make; recover from the Seller any expenditure reasonably incurred by the Company in obtaining the Products in substitution from another supplier; and claim damages for any additional costs, losses or expenses incurred by the Company which are in any way attributable to the Seller’s failure to deliver the Products on the due date.

  • Share Delivery Delivery of any shares in connection with settlement of the Award will be by book-entry credit to an account in the Grantee’s name established by the Company with the Company’s transfer agent, or upon written request from the Grantee (or his personal representative, beneficiary or estate, as the case may be), in certificates in the name of the Grantee (or his personal representative, beneficiary or estate).

  • Non Delivery C15.1 Where the Goods, having been placed in transit, fail to be delivered to the Authority on the due date for delivery, the Authority shall, (provided that the Authority has been advised in writing of the dispatch of the Goods), within ten (10) Working Days of the notified date of delivery, give notice to the Contractor that the Goods have not been delivered and may request the Contractor free of charge to deliver substitute Goods within the timescales specified by the Authority or terminate the Contract in accordance with clause C13.4 (Delivery).

  • DEFAULT ON DELIVERY If during the Contract period an Authorized User has issued a Purchase Order on or before Final Order Due Date for a Vehicle, and that Vehicle becomes unavailable or cannot be supplied for any reason (except as provided for in Appendix B §48 Savings/Force Majeure), following the issuance of the Purchase Order, a substitute Vehicle deemed by the Authorized User to be equal to the specifications for the Vehicle specified in the Mini-Bid, must be supplied by Contractor if requested by the Authorized User. If the Vehicle awarded in the Mini-Bid (i.e., Model Year, Make, Model, Model Code) is not available or not deemed equal to the specifications for the Vehicle specified in the Mini-Bid, then Contractor must supply a similar vehicle that meets the specifications for the Vehicle provided in the Mini-Bid. The price for substitute Vehicles shall be equal to or less than the Base NYS Vehicle Price for the Vehicle provided in the Mini-Bid. Alternatively, the Authorized User may, at their sole discretion, cancel the order and purchase the Vehicle from other sources. In such event the Contractor shall reimburse the Authorized User for all excess costs over the contract price.

  • Closing; Delivery (a) The purchase and sale of the Series C-1 Preferred Stock by the Investors and the issuance of the Series C-2 Warrants shall take place at the offices of Xxxxxx, Xxxxxxxxxx & Xxxxxxxxx LLP, 000 Xxxxxx Xxxxxx, San Francisco, California 94105 at 10:00 a.m., on the date of this Agreement, or such other date, time or place as the Company and the Investors mutually agree upon, orally or in writing following satisfaction of the conditions in Section 4 (which time and place are designated as the “Closing”), upon the physical or electronic exchange among the parties and their counsel of all documents and deliverables required under this Agreement; provided, however, that if the Closing does not occur on or before November 17, 2011, this Agreement shall terminate in its entirety, provided further that in the event this Agreement terminates, the Prior Agreement shall be reinstated in its entirety and shall be in full force and effect. In the event that payment by an Investor is made, in whole or in part, by cancellation of indebtedness, then such Investor shall surrender to the Company for cancellation at the Closing any evidence of indebtedness or shall execute an instrument of cancellation in form and substance acceptable to the Company. The shares of Series C-1 Preferred Stock issued to the Investors pursuant to this Agreement shall be hereinafter referred to as the “Stock.” The Stock, the Series C-2 Warrants, the Warrant Stock, and the Common Stock issuable upon conversion of the Stock shall be hereinafter referred to as the “Securities.”
