Delegation by Trustee. The Holder expressly authorizes the Trustee to delegate to the Agent the performance of the following duties of the Trustee:
Delegation by Trustee. The Trustee may at any time and from time to time delegate by power of attorney or in any other manner to any person or persons all or any of the powers, authorities and discretions exercisable by the Trustee under this Pledge. Any such delegation may be made upon such terms and subject to such regulations as the Trustee may think fit, provided that nothing in this clause 11 shall confer upon the Trustee the power to allow any delegate to sub-delegate any such rights, powers, authorities and discretions. The Trustee shall not be in any way liable or responsible to Advent, any Secured Creditor or any other person for any loss or damage arising from any default, omission, misconduct or negligent act on the part of any such delegate, save where such loss or damage arises due to the wilful misconduct (including wilful omission) or wilful default or gross negligence of such delegate and the Trustee is considered by a final decision of a court to have been grossly negligent in its delegation to the delegate concerned.
Delegation by Trustee. The Trustee may designate or employ any person or persons, without the prior consent of the Grantor or any other party, to carry out any powers or responsibilities of the Trustee.
Delegation by Trustee. The Annuitant expressly authorizes the Trustee to delegate to the Agent the performance of the following duties and obligations of the Trustee under the Fund:
Delegation by Trustee. Notwithstanding clause 11.1, all or any of the powers, authorities, functions and discretions exercisable by the Trustee under this Deed may be delegated by the Trustee to its officers and employees or to any other Person (including the Forest Management Company) nominated by the Trustee (other than the Trustee) but the Trustee remains liable for the acts and omissions of any such officer, employee or Person whether or not the delegate is acting within the terms of its delegated authority.
Delegation by Trustee. You expressly authorize the Trustee to delegate to any of its agents the performance of the following duties of the Trustee:
Delegation by Trustee. The Trustee may whenever it thinks fit delegate by power of attorney or otherwise to any person or persons or fluctuating body of persons (whether being a joint trustee of these presents or not) or any period (whether exceeding one year or not) or indefinitely all or any of the trusts, powers and authorities vested in the Trustee by these presents and such delegation may be made upon such terms and subject to such conditions including power to sub-delegate and subject to such regulations as the Trustee may in the interests of the Noteholders think fit and PROVIDED THAT the Trustee shall have exercised reasonable care in the selection of such delegate the Trustee shall not be in any way responsible for any loss incurred by reason of any misconduct or default on the part of any such delegate or sub-delegate. The Trustee shall within a reasonable time prior to any such delegation or any renewal, extension or termination thereof give notice thereof to the Issuer and to the Rating Agencies.
Delegation by Trustee. The Trustee may delegate to any one or more persons firms or companies on such terms as the Trustee may think fit any of the authorities powers and discretions conferred upon the Trustee. Without limiting the generality of the foregoing the Trustee may appoint from time to time such one or more persons firms or companies as the Trustee may think fit to act either as custodian or investment manager or both subject to such conditions as the Trustee may from time to time determine and may delegate to and confer upon such a custodian or investment manager such authorities power or discretions, including the Trustee's power of delegation, as the Trustee may think fit. The Trustee will have power to pay out of the Fund to any such custodian investment manager or other delegate such remuneration for its services as the Trustee considers proper and to remove from time to time any such custodian or investment manager.
Delegation by Trustee. Delegation by Trustee. It is intended by the Trustee and the Company that the Trustee may delegate to the trustee of the Savings Plan or to another entity designated by the Company (so long as the trustee of the Savings Plan or such other entity is an institution that is unaffiliated with the Company) its responsibility under Section 7.1 to solicit voting instructions from Eligible Participants, its responsibility under Section 7.2 to solicit tender or exchange instructions from Eligible Participants and its responsibility under Section 7.3 to distribute documents described in Section 7.3 to Eligible Participants; provided that the trustee of the Savings Plan or such other entity agrees to comply with the last sentence of each of Sections 7.1 and 7.2.
