Delegation of Authority to Director of Public Safety or the Deputy. Fire Chief of the Lower Xxxxxx Township Bureau of Fire. When used in this Agreement, the term “Provide Fire Protection Services” means, as and when necessary, and as determined by the Director of Public Safety or the Deputy Fire Chief in the sole exercise of his or her reasonable professional judgment (A) responding to all fire calls and other emergencies within the responsibility of the Fire Bureau - within each Fire Service Area under and pursuant to the Prior Fire Services Agreements - and (B) furnishing all fire protection to and for the inhabitants of the Township within the respective Fire Service Areas for and during the Term, subject only of this Agreement, through the use of such fire and emergency equipment and personnel of the Fire Department as the Deputy Chief of the Lower Xxxxxx Township Bureau of Fire (or, as applicable, his or her designee) (the “Deputy Fire Chief”) shall determine to be reasonable and prudent in the context of each such call. In furtherance, and not in limitation, of the foregoing, the Deputy Fire Chief shall determine the numbers and types of apparatus and personnel which shall respond to fire calls and other types of emergency calls.

  • Severability Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

  • Definitions For purposes of this Agreement:

  • Notices Any notice, request or other document required or permitted to be given or delivered to the Holder by the Company shall be delivered in accordance with the notice provisions of the Purchase Agreement.

  • IN WITNESS WHEREOF the parties hereto have executed this Agreement as of the day and year first above written.

  • Waiver The waiver by any party hereto of a breach of any provision of this Agreement shall not operate or be construed as a waiver of any other or subsequent breach.

  • General The Trustee shall keep proper books of record and account of all the transactions of each Trust under this Indenture at its corporate trust office, including a record of the name and address of, and the Units issued by each Trust and held by, every Unit holder, and such books and records of each Trust shall be open to inspection by any Unit holder of such Trust at all reasonable times during the usual business hours. The Trustee shall make such annual or other reports as may from time to time be required under any applicable state or federal statute or rule or regulations thereunder.
