Delegation of Duty. Nothing contained herein shall deem to authorize the delegation of the constitutional or statutory duties of the officers of the City or the Council.

In the performance of their respective obligations under this Agreement, KSI and its Affiliates may act directly or through agents, counsel (in-house or outside) or other persons, may delegate the performance of functions and may consult with agents, counsel (in-house or outside) and other persons. None of KSI or any of its Affiliates will be liable for the default or misconduct of any persons employed, consulted or engaged thereby. KSI and its Affiliates will be entitled to conclusively rely for all purposes upon any notice, document, correspondence, request or directive received by it from KSL or its Affiliates, or any officer or director of KSL or its Affiliates, and shall not be obligated to inquire (a) as to the authority or power of any person executing or presenting any such notice, document, correspondence, request or directive, or (b) as to the truthfulness of any statements set forth therein.

In the performance of its obligations under this Agreement, Contractor may act directly or through its Affiliates, agents, counsel (in-house or outside) or other persons, may delegate the performance of functions and may consult with agents, counsel (in-house or outside) and other Persons. Contractor, and any Person to whom its obligations have been delegated including any of its Affiliates, shall be entitled to conclusively rely for all purposes upon any notice, document, correspondence, request or directive received by it from Transco or its Affiliates, or any officer or director of Transco or its Affiliates, and shall not be obligated to inquire (a) as to the authority or power of any person executing or presenting any such notice, document, correspondence, request or directive, or (b) as to the truthfulness of any statements set forth therein.
Delegation of Duty. Pursuant to Indiana Code 36-1-7-4(a)(3), the Parties hereby delegate the duty to receive, disburse, and account for all monies associated with this Agreement to the Clerk-Treasurer of the City of Franklin, Indiana.

None of Weatherford or any of its Affiliates will be liable for the default or misconduct of any persons employed, consulted or engaged thereby. Weatherford and its Affiliates will be entitled to conclusively rely for all purposes upon any notice, document, correspondence, request or directive received by it from Grant Prideco, or any officer or director of Grant Prideco, and shall not be obligated to inquire (a) as to the authority or power of any person executing or presenting any such notice, document, correspondence, request or directive, or (b) as to the truthfulness of any statements set forth therein.
Delegation of Duty. 6.1 Halton has delegated to MWDA certain of its waste disposal functions as set out in the Resolution.
6.2 Halton may at its discretion revoke the Delegation at any time subject always to the rights and remedies of MWDA generally at law and specifically as set out in clause 16 (Consequences of Termination and/or Revocation of Delegation) of this Agreement.
6.3 MWDA and Halton shall liaise promptly and meaningfully on matters arising out of the Principal Contracts affecting both Authorities in accordance with the principles set out in this Agreement.
6.4 The Delegation shall not apply to the Second Stage Procurement if Halton (prior to the commencement of the Second Stage Procurement) shall certify to MWDA that it shall not so apply acting by the Strategic Director of Environment (and notwithstanding clause 27) serving a notice on MWDA (personally hand delivered to MWDA between Monday and Friday inclusive and only if so delivered between the hours of 10am and 4pm) of such non application. Where Halton does so specify that the Delegation shall not apply to the Second Stage Procurement the provision of clause 16 shall apply.
6.5 For the avoidance of doubt MWDA and Halton agree that any and all obligation that MWDA has under the Delegation shall be deemed to be fulfilled to the full satisfaction of Halton by MWDA complying in all material respects with its obligations to carry out the First Stage Procurement and the Second Stage Procurement.
Delegation of Duty. No Party shall assign any portion of this Agreement or the rights and responsibilities hereunder to another person or entity who is not a party to this Agreement without the prior written consent of the other Parties. Notwithstanding the above, nothing herein shall restrict the rights of any party to contract with any third-parties for the implementation of the Wake County Transit Work Plan as contemplated herein.
