DUTIES OF COUNTY. The County undertakes to perform the duties set forth herein. No implied duties or obligations shall be read into this Agreement against the County. The County hereby agrees to use the funds deposited with it for payment of the principal of, redemption premium (if any), and interest on the Bonds to pay the same as it shall become due and further agrees to establish and maintain such accounts and funds as may be required for the County to function as Paying Agent.
DUTIES OF COUNTY. COUNTY, acting through its designated representative, shall administer and enforce the floodplain management regulations of [CITY, TOWN, VILLAGE] throughout the term of this Agreement, and shall: Maintain records identified in said regulations in a form and manner that allows production of records pertinent to [CITY, TOWN, VILLAGE] upon request by [CITY, TOWN, VILLAGE], the Florida Division of Emergency Management, or the Federal Emergency Management Agency. Upon request by the Florida Division of Emergency Management or the Federal Emergency Management Agency, attend meetings and/or participate in telephonic and electronic communications related to [CITY, TOWN, VILLAGE]’s participation in the National Flood Insurance Program, including but not limited to Community Assistance Visits, Community Assistance Contacts, and Community Rating System verification visits, if applicable. In coordination with [CITY, TOWN, VILLAGE], undertake appropriate actions identified in writing by the Florida Division of Emergency Management or the Federal Emergency Management Agency as necessary to resolve matters related to continued participation in good standing in the National Flood Insurance Program. In coordination with [CITY, TOWN, VILLAGE], undertake actions deemed appropriate after events that damage buildings, to determine whether such buildings, if located in special flood hazard areas, have sustained substantial damage as such term is defined in the floodplain management regulations of [CITY, TOWN, VILLAGE].
DUTIES OF COUNTY. In return for full, faithful and diligent rendering of services set forth above, County agrees to pay to Vendor the amount specified in Vendor’s bid upon submission of the required invoice and satisfactory completion of all required work.
DUTIES OF COUNTY. 1. COUNTY may in its sole discretion allow CONTRACTOR, under the Pinal County New Hope Program, to assume responsibility for animals outside of its adoption requirements, when these animals have been deemed unadoptable for medical conditions or age or have been available to the public for adoption for more than a reasonable amount of time, to be determined by Pinal County Animal Care & Control, and have not been adopted or cannot be kept by Pinal County any longer.
DUTIES OF COUNTY. 1. County may in its sole discretion allow Contractor, under the New Hope Program, to assume responsibility for animals as an alternative to adoption when these animals have been deemed not ready for adoption due to medical or behavioral issues and have been held by the period prescribed by law or have been available to the public for adoption for a period of time deemed appropriate by MCACC.
2. The County reserves the right to deny the placement of an animal for any reason deemed by the County as a threat to public health or safety.
3. County shall provide a no cost dog license with one (1) permanent tag, good for one year from date of vaccination, to each dog three months of age or older and the completed rabies vaccination certificate at no cost to Contractor.
4. County shall provide the initial license transfer to initial new owner within the Contractor’s initial license year at no cost to Contractor when utilizing the established online system.
5. County may offer medical spay or neuter for select animals released to Contractor. The fee is set by the County and requires full cost recovery.
6. County shall hold one or more Contractors meetings in an annual period.
7. County may inspect the Contractor’s facility annually or on a more frequent basis as the County in its sole discretion deems necessary. County shall provide a minimum of 12 (twelve) hours’ notice prior to any inspection.
8. County may remove animals from Contractor upon inspection when Contractor has not adequately provided proper food, medical resources, housing, confinement, or when poor sanitary conditions exist that may jeopardize the health and safety of the animals.
9. County may temporarily suspend this Contract without notice and in its sole discretion if the County determines that:
a. The Contractor is non-compliant with the provisions of this Contract;
b. The health and safety of an animal in the care of the Contractor is in jeopardy.
10. Contractor shall be informed in writing of the reason for temporary suspension upon issuance of the suspension and Contractor shall have five (5) business days to respond in writing from the date of the notice.
11. A temporary suspension imposed by the County shall remain in effect unless and until Contractor comes into compliance.

DUTIES OF COUNTY. 1. County shall compensate Contractor in the amount set forth in Section C above.
2. County will provide box office area as outlined in Section F above.
DUTIES OF COUNTY. 1. The County shall implement the Grant as required by the Grant Application and Administrative Guide.
2. The County shall be responsible for the dissemination of Grant funds to EPISD for the services described in Section D of this Agreement.
3. The County shall pay to EPISD Grant funds awarded for the services described in Section D of this Agreement in an amount not to exceed $203,172.00.
DUTIES OF COUNTY. 1. The County shall implement the Grant as required by the Grant Application and Administrative Guide.
2. The County shall be responsible for the dissemination of Grant funds to UTEP for the activities described in Section C of this Agreement.
3. The County shall pay to UTEP Grant funds awarded for the services described in Section C of this Agreement in an amount not to exceed sixty thousand and No/100 dollars ($60,000.00).
DUTIES OF COUNTY. 15 A. COUNTY shall operate a central dispatching facility and shall immediately refer 16 all calls for emergency medical care and ambulance services within the area set forth in Exhibit “A” to 17 the Fire Department of the City of Coalinga in accordance with COUNTY EMS Policies and 18 Procedures.
19 1) COUNTY will assist CONTRACTOR in developing, implementing, and 20 maintaining an internal field supervision system to provide evaluation of CONTRACTOR’s personnel 21 providing service under this Agreement according to the standards established by the COUNTY EMS 22 Policies and Procedures.
23 2) COUNTY will do periodic and annual inspections of CONTRACTOR’s 24 emergency ambulance services personnel certifications, records, vehicles, equipment, and facilities 25 required by law and this Agreement.
26 B. Notwithstanding the foregoing provisions of Subsection 3.A. of this Agreement, 27 COUNTY is not restricted by reason of this Agreement from entering into an agreement for services 28 that are the same as or similar to these provided by CONTRACTOR pursuant to this Agreement with 1 an entity other than CONTRACTOR for the provision of emergency medical services within the same 2 geographic area as described in Exhibit “A”. COUNTY shall notify CONTRACTOR of any proposal 3 to enter into such an agreement with any other entity prior to award of such agreement.
4 C. The COUNTY shall provide the following for CONTRACTOR’S use during the 5 term of this Agreement:
6 a) The use of COUNTY communications infrastructure for EMS 7 Med Channels, as provided herein.
8 b) COUNTY shall allow for continued use of previously provided 9 Portable (Handheld) Radios, Pagers, and In-Vehicle Radios, however, the maintenance and 10 replacement of these radios previously provided by COUNTY shall be the responsibility of 11 CONTRACTOR. Such communications equipment shall be returned to COUNTY by 12 CONTRACTOR at the time of replacement.
DUTIES OF COUNTY. A. County agrees to the following actions:
1. Report all claims, incidents, reports or correspondence relating to potential claims in a timely manner.
2. Reasonably cooperate in the disposition of all claims.
3. Provide adequate funds to pay all claims and expenses in a timely manner.
4. Respond to reasonable information requests in a timely manner.
5. Identify in writing all insurance carriers applicable to CONTRACTOR's claim handling responsibilities contemplated in this Agreement that CONTRACTOR will have claim or data reporting requirements. In this regard, County agrees to provide CONTRACTOR with a complete copy of the current excess or other insurance policies, including applicable endorsements and audits, applicable to County’s insurance program and this Service Agreement. CONTRACTOR assumes no responsibility of any kind for not reporting an otherwise reportable claim to any carrier that County has failed to disclose to CONTRACTOR and/or provide CONTRACTOR with a copy of the applicable insurance policy and reporting instructions relative to that carrier.
6. Pay any fees or costs charged by any carrier or prior TPA of County for the conversion of data associated with CONTRACTOR handling run off claims for County, or for the general transfer of data to CONTRACTOR's operating systems.
7. Promptly pay CONTRACTOR's fees.
B. County agrees to be responsible for and pay all of its own operating expensesother than service obligations of CONTRACTOR.
1. All costs associated with County meeting its State security and licensing requirements
2. Certified Public Accountants
3. Attorneys, other than provided for in this Agreement;
4. Outside consultants, actuarial services or studies and State audits;
5. Independent payroll audits;
6. Allocated Claims Expenses incurred pursuant to this Agreement;
7. All applicable regulatory fees and taxes;
8. Educational and/or promotional material, industry-specific loss control material, customized forms and/or stationery, supplies and extraordinary postage, such as bulk mailing, express mail or messengerservice.
9. National Council on Compensation Insurance, NCCI, charges;
10. Excess and other insurance premiums;
11. Costs associated with the development, record keeping and filing of fraud statistics and plans, but only if required by any State or regulatory authority having jurisdiction over County;
12. Other operating costs as normally incurred by the County.
