Deliveries Outside of Escrow. Seller shall deliver possession of the Property, subject only to the Permitted Exceptions, to Buyer upon the Closing. Further, Seller hereby covenants and agrees to deliver to Buyer, on or prior to the Closing, the following items:
Deliveries Outside of Escrow. Notwithstanding Section 9.3, Xxxxxx and Xxxxx may elect to deliver the documents described in Section 9.3 outside of escrow (other than documents which are to be recorded) by giving Escrow Holder a joint written notice of such election, specifying the documents which will be so delivered outside of escrow. Upon receipt of such notice, Escrow Holder shall have no further obligation concerning such specified documents.
Deliveries Outside of Escrow. Transferor shall deliver possession of the Properties, subject only to the Permitted Exceptions, to Transferee (in its capacity as the controlling party of each Property Owning Entity) upon the Closing. Further, Transferor hereby covenants and agrees to deliver to Transferee (in its capacity as the controlling party of each Property Owning Entity), on or prior to the Closing, the following items:
Deliveries Outside of Escrow. At the Closing, Seller shall deliver possession of the Properties to Purchaser upon the Closing.
Deliveries Outside of Escrow. Upon each Option Closing, Optionor shall deliver sole and exclusive possession of the Lot(s) and/or the Option Property purchased at such Option Closing to Optionee, subject only to the Permitted Exceptions.
Deliveries Outside of Escrow. Upon the close of Escrow, Seller shall deliver directly to Buyer by transferring along with possession of the Property on the Closing Date: (a) all keys and other access control devices for the Improvements which are in Seller’s possession, (b) the originals in Seller’s possession of all Contracts and Tenant Occupancy Leases (c) all other Personal Property, subject to the rights of certain tenants to certain Personal Property under the terms of their respective Tenant Occupancy Leases, and (d) the resignation of Seller as Manager under the Declaration.
Deliveries Outside of Escrow. IWRA shall deliver possession of the Property, subject only to the Permitted Exceptions, to HBR upon the Closing. Further, IWRA hereby covenants and agrees to deliver to HBR, on or prior to the Closing, the following items:
Deliveries Outside of Escrow. Transferor shall deliver, or cause to be delivered, possession of the Properties, subject only to the Permitted Exceptions, the rights of Tenants and subtenants in occupancy under the Tenant Leases to Transferee upon Closing. Further, Transferor shall deliver, or cause to be delivered, to Transferee, on or prior to the Closing, the following items:

Seller shall deliver possession of the Property to Buyer upon the Closing, subject to the rights of the tenants (as tenants only without any options or rights of first refusal or other preferential rights to purchase) under Tenant Leases (if any). Further, Seller hereby covenants and agrees, at its sole cost and expense, to deliver or cause to be delivered to deliver to Buyer, on or prior to the Closing, the following items:
Deliveries Outside of Escrow. On or before the Closing Date, Seller shall deliver or cause to be delivered to Buyer the following:
(a) To the extent they are then in Seller's possession, and have not been delivered to Buyer, all documents required by Buyer in accordance with Section 3.3 above;
(b) All keys in Seller's possession for all improvements on the Property;
(c) The originals of all Contracts which will remain in effect after the Closing and all correspondence and existing records prepared by Seller in its normal course of operations specifically for the Property relating to, and necessary for, the on-going operations and maintenance of the Property (which materials may be either delivered at Closing or left at the management office at the Property);
(d) Such additional documents as may be reasonably required by Buyer and Escrow Holder in order to consummate the transactions hereunder (provided the same do not materially increase the costs to, or liability or obligations of, Seller in a manner not otherwise provided for herein).
