Notices to Tenants. A letter for each Project in form and substance reasonably acceptable to Transferee, duly executed by Transferor, dated as of the Closing Date and addressed to the Tenants thereof, informing such Tenants of the transfer of such Project and the assignment of the applicable Leases to the applicable Property Owning Entity, together with an instruction to pay all amounts due or to become due under such Leases to Transferee.
Notices to Tenants. Upon assignment as described in Section 2.14(a) above, Trustor irrevocably authorizes and directs all Tenants under the Leases to comply with any notice or demand by Beneficiary for payment to Beneficiary of any Rents and Profits or for the performance of any of the Tenant’s other respective obligations under the Leases, regardless of any conflicting demand by Trustor or notice by Trustor to any Tenant that Beneficiary’s demand is invalid or wrongful.
