Delivery of Accountants’. “Comfort” Letter. The Company shall have requested and caused the Accountants to have furnished to the Manager letters (which may refer to letters previously delivered to the Manager), dated as of such date, in form and substance satisfactory to the Manager, confirming that they are independent accountants within the meaning of the Act and the Exchange Act and the respective applicable rules and regulations adopted by the Commission thereunder and that they have performed a review of any unaudited interim financial information of the Company included or incorporated by reference in the Registration Statement and the Prospectus and provide customary “comfort” as to such review in form and substance satisfactory to the Manager.

The Company shall have requested and caused the Accountants to have furnished to the Managers, in accordance with Section 5(n), to the extent requested by the Lead Manager and upon reasonable advance notice in connection with any offering of the Shares, letters (which may refer to letters previously delivered to the Managers), dated as of such date, in form and substance satisfactory to the Managers, confirming that they are independent accountants within the meaning of the Securities Act and the Exchange Act and the respective applicable rules and regulations adopted by the Commission thereunder and that they have performed a review of any unaudited interim financial information of the Company and included or incorporated by reference in the Registration Statement and the Prospectus and provide customary “comfort” as to such review in form and substance satisfactory to the Managers.

The Company shall have requested and caused the Accountants to have furnished to the Manager, in accordance with Section 5(m), to the extent requested by the Manager and upon reasonable advance notice in connection with any offering of the Shares, letters (which may refer to letters previously delivered to the Manager), dated as of such date, in form and substance satisfactory to the Manager, confirming that they are independent accountants within the meaning of the Securities Act and the Exchange Act and the respective applicable rules and regulations adopted by the Commission thereunder and that they have performed a review of any unaudited interim financial information of the Company and included or incorporated by reference in the Registration Statement and the Prospectus and provide customary “comfort” as to such review in form and substance satisfactory to the Manager.

The Company shall have caused the Accountants and the Company’s Chief Accounting Officer to furnish to the Manager, letters required to be delivered pursuant to Section 4(m) on or before the date on which such letters are required pursuant to Section 4(m).

The foregoing requirement to furnish or cause to be furnished a “comfort” letter and Chief Financial Officer certificate shall be waived for each Applicable Time, Settlement Date and Time of Delivery and for each Representation Date other than a Representation Date on which a material amendment to the Registration Statement or Prospectus is made or the Company files its Annual Report on Form 10-K or a material amendment thereto under the Exchange Act, unless the Manager reasonably requests such “comfort” letter and Chief Financial Officer certificate in connection with any such Representation Date, upon which request such “comfort” letter and Chief Financial Officer certificate shall be deliverable hereunder.

The Company shall have requested and caused the Accountants to have furnished to the Managers letters (which may refer to letters previously delivered to the Managers), dated as of such date, in form and substance satisfactory to each Manager, confirming that they are independent accountants within the meaning of the Act and the Exchange Act and the respective applicable rules and regulations adopted by the Commission thereunder and that they have performed a review of any unaudited interim financial information of the Company included or incorporated by reference in the Registration Statement and the Prospectus and provide customary “comfort” as to such review in form and substance satisfactory to each Manager, provided that the delivery of this deliverable on the Effective Time shall be waived as long as no instruction to either Manager to sell Shares pursuant to this Agreement has been delivered by the Company or is pending; provided, however, that, if the Company determines to sell Shares when the Company has relied on this waiver and did not provide the deliverable pursuant to this Section 6(d), then the Company shall deliver, or cause to be delivered, the deliverable pursuant to this Section 6(d) prior to any instruction from the Company to a Manager to sell Shares pursuant to this Agreement.

  • Independent Accountants The accountants who certified the financial statements and supporting schedules included in the Registration Statement are independent public accountants as required by the 1933 Act and the 1933 Act Regulations.

  • Delivery of Opinion The Company shall have caused the Company Counsel to furnish to the Manager its opinion and negative assurance statement, dated as of such date and addressed to the Manager in form and substance acceptable to the Manager.

  • Accountants The Company’s accounting firm is set forth on Schedule 3.1(dd) of the Disclosure Schedules. To the knowledge and belief of the Company, such accounting firm (i) is a registered public accounting firm as required by the Exchange Act and (ii) shall express its opinion with respect to the financial statements to be included in the Company’s Annual Report for the fiscal year ending December 31, 2023.
