Delivery of Closing Documents and Loan Documents. (a) Upon Escrow Agent’s receipt of all of the items referenced in Sections 5.1 and 5.2 above, Escrow Agent shall wire transfer the Purchase Price (plus sufficient funds to pay all other amounts required to be paid to Seller pursuant to the Settlement Statement) to Seller pursuant to instructions previously delivered to Escrow Agent by Seller and release to each party one (1) fully-executed original (or copies of documents being recorded) of each of the documents to be delivered by the parties to this Agreement to Escrow pursuant to Sections 5.1 and 5.2, as applicable (provided that the original Allonge shall be delivered to Buyer), conditioned upon the satisfaction of the conditions precedent applicable to each party’s consummation of the transaction contemplated hereby. Upon receipt by Seller of the Purchase Price and confirmation that Buyer has delivered all documents required to be delivered to the Escrow pursuant to Section 5.1 above, Seller shall authorize its counsel to deliver to Buyer’s counsel, at the office of Seller’s counsel at 200 Xxxxxxx Xxxxx, Xxxxxxxxxx, Xxx Xxxxxx (x) the originals of the promissory note and all prior allonges and (b) the original (or, if an original is not in the possession or control of Seller, a copy) of all other Loan Document in Seller’s possession or control. Subsequent to Closing, Buyer shall have the right at Buyer’s option and expense, either to have the Loan Documents delivered to Buyer at the address specified by Buyer or collected by the Buyer from the location at which the Loan Documents are stored.

Upon receipt by Seller of the Purchase Price and confirmation that Buxxx xas delivered all documents required to be delivered to Seller pursuant to Section 5.1 above, Seller shall authorize its counsel to deliver to Buyer’s counsel, at the office of Buyer’s counsel the originals (or, if originals are not in the possession or control of Seller, a copy) of all other Loan Documents in Seller’s possession or control.
