Delivery of Documents; Corporate Records. The Seller Group has heretofore delivered or made available to the Buyer Group true, correct and complete copies of all documents, instruments, agreements and records referred to in this Article 3 or in the Schedules to this Agreement and copies of the minute and stock record books of the Company. The minute and stock record books of the Company are, for all material purposes, true, correct and complete copies of the records of all meetings and consents in lieu of a meeting of the Board of Directors (and all committees thereof) and the shareholders of the Company since the date of its incorporation.

The Sellers have heretofore made available to the Buyer copies of the articles of organization or certificate of formation (or equivalent document), bylaws, operating agreements or other charter or organizational documents and the minute and record books of the Companies which are true, correct and complete in all material respects.

The minute and stock record books of each of Empire, in all material respects, contain true, correct and complete copies of the records of all meetings and consents in lieu of meetings of Empire's Board of Directors (and all committees thereof) and the shareholders since date of incorporation. All minutes, consents or other documents pertaining to Empire to be delivered at or prior to closing shall be valid and in accordance with the NRS.

The minute and stock record books of each of Aurora and the Aurora Subsidiaries contain true, correct and complete copies of the records of all meetings and consents in lieu of meetings of Aurora's or the Aurora Subsidiaries', as applicable, boards of directors (and all committees thereof) and the shareholders and members of Aurora and the Aurora Subsidiaries since the respective dates of their incorporation or organization.
