The minute books of Honeywood contain true, correct and complete copies of the records of all meetings and consents in lieu of meetings of Honeywood’s board of managers (and all committees thereof) and the members of Honeywood since the date of its incorporation or organization. The membership interest record of Honeywood contains true, correct and complete copies of the records of all issuances and transfers of membership interests and other equity interests of Honeywood since its inception. True, correct and complete copies of all such minute books and membership interest record books have been provided to Tauriga and Acquisition Sub.
