Description of the AMP ISA. The AMP ISA facilitates the interconnection of the Belleville Hydroelectric Plant, a 49 MW facility consisting of two 24.5 MW hydroelectric units located in Belleville, West Virginia. See AMP ISA, Specifications § 1.0. The AMP ISA indicates that AMP will have 49 MW of Capacity Interconnection Rights,5 consisting of 42 MW associated with prior interconnection requests, plus an additional 7 MW of interim Capacity Interconnection Rights that may be provided to AMP during the interim time period commencing as of the AMP ISA’s effective date and ending May 31, 2017. See AMP 4 Specifically, the AMP ISA supersedes an ISA among PJM, American Municipal Power, Inc. as agent for Ohio Municipal Electric Generation Agency Joint Venture 5 and American Electric Power Service Corporation as agent for Ohio Power, which was filed on January 14, 2005 in PJM Interconnection, L.L.C., Docket No. ER05-456-000 (“Docket No. ER05-546 Filing”), and designated as Original Service Agreement No. 1202. The Commission accepted Original Service Agreement No. 1202 to be effective December 16, 2004. PJM Interconnection, L.L.C., Letter Order, Docket No. ER05-456-000 (Mar. 7, 2005) (“March 2005 Order”). Original Service Agreement No. 1202 contains certain nonconforming provisions related to AEP’s integration into PJM.   • Description of the Transfer The details of the transfer and of the personal data are specified in Annex B. The parties agree that Annex B may contain confidential business information which they will not disclose to third parties, except as required by law or in response to a competent regulatory or government agency, or as required under clause I(e). The parties may execute additional annexes to cover additional transfers, which will be submitted to the authority where required.   • Construction of the Agreement The Agreement sets forth the entire understanding between two sophisticated business entities with legal counsel as to its subject and supersedes all prior agreements, conditions, warranties, representations, arrangements and communications, including purchase orders issued by Client, whether oral or written, and whether with or by Accenture, any of its affiliates, or any of their employees, officers, directors, agents or shareholders. Each party acknowledges that it entered into the Agreement solely based on the agreements and representations contained herein, and has not relied upon any representations, warranties, promises, or inducements of any kind, whether oral or written, and from any source. If a court of competent jurisdiction finds any term of the Agreement to be invalid, illegal or otherwise unenforceable, such term or provision will not affect the other terms of this Agreement and will be deemed modified to the extent necessary, in the court’s opinion, to render such term enforceable while preserving to the fullest extent permissible the intent and agreements of the parties set forth in this Agreement. No waiver or modification of any provision of the Agreement will be effective unless it is in writing and signed by the party against which it is sought to be enforced. The delay or failure by either party to exercise or enforce any of its rights under this Agreement is not a waiver of that party’s right to later enforce those rights, nor will any single or partial exercise of any such right preclude any other or further exercise of these rights or any other right. There are no third-party beneficiaries to the Agreement. In the event of a conflict between these GTC and an Order Form, the Order Form controls for purposes of that Order Form only.

  • Description of Program This Agreement is established to facilitate an exchange program at the partner institution with students, faculty and researchers from each institution (collectively, the “Exchange Program”). The student exchange program enables students from one university to take classes at the other university while working towards a degree at the university where he or she is formally enrolled (individually, the “Student Exchange”) and to encourage faculty members and researchers from each university to visit the other university and engage in certain activities (individually, the “Faculty/Researcher Exchange”).   • Recognition of the Association The County recognizes the Government Supervisors Association of Florida, OPEIU, Local 100, ("Association") which has been certified, by the Florida Public Employee Relations Commission, Certification Number 1289, as the sole and exclusive representative of the employees within the Bargaining Unit, as described pursuant to PERC Case No. EL-2000-013, and as amended by mutual agreement of the parties for the purpose of collective bargaining with respect to wages, hours of employment, and other terms and conditions of employment. References to “Supervisory” in this Agreement will include all Bargaining Unit members.

In brief, maintenance involves servicing, repairs, and testing of lights and LV systems. This involves carrying out maintenance on electrical equipment such as LV DBs, electrical plant, wiring enclosures and luminaires and associated control systems, portable appliances and other specific electrical equipment, in order to minimize downtime, and ensure that the equipment performs at optimal levels and functions to specification at the specified areas. Servicing - performing routine preventive maintenance as prescribed by the original equipment manufacturer (OEM), ACSA’s planned maintenance routines, and applicable legal and design standards. Repairs – responding to breakdowns, callouts and restoring the equipment to safe working conditions on an as and when basis. Advisory – telephonically guiding airport electricians under emergency situations to ensure systems are safely shutdown or returned to service within stringent times. System Performance Test – Testing equipment performance against the OEM, ACSA, and statutory requirements for compliance and return to service purposes. Extent of the works The Contractor will be fully responsible for meeting all requirements in this document regarding the Works. For each piece of equipment, all work will be carried out to standards as required by the Original Equipment Manufacturer (OEM) as well as any applicable governing law and/or regulations. Where OEM standards differ from those required by this document the more stringent requirement shall apply. The Contractor will be fully responsible for obtaining (and keeping up to date with) said requirements. The proposed minimum scheduled maintenance activities can be found in annex H.

  • Operation of the Agreement A5.1 This Agreement is comprehensive and provides the terms and conditions of employment of employees covered by this Agreement, other than terms and conditions applying under applicable legislation.
