Designation and Ranking. (a) THIS SERIES OF PREFERRED STOCK IS DESIGNATED AS THE SERIES A CONVERTIBLE PREFERRED STOCK (THE “SERIES A PREFERRED STOCK”). THE NUMBER OF SHARES CONSTITUTING THE SERIES A PREFERRED STOCK IS 689,295. SHARES OF SERIES A PREFERRED STOCK MAY BE ISSUED IN WHOLE OR FRACTIONAL SHARES, ROUNDED TO THE NEAREST ONE-TEN THOUSANDTH OF A WHOLE SHARE OF SERIES A PREFERRED STOCK. ANY REFERENCE TO A SHARE OF SERIES A PREFERRED STOCK WILL, AS TO ANY FRACTIONAL SHARE, BE DEEMED TO BE MULTIPLIED BY THE APPLICABLE FRACTION OF THAT SHARE OF SERIES A PREFERRED STOCK. THE COMPANY WILL NOT ISSUE MORE THAN 689,295 SHARES OF SERIES A PREFERRED STOCK, AND THE COMPANY WILL NOT ISSUE ANY RIGHTS, WARRANTS, OPTIONS OR OTHER SECURITIES EXERCISABLE FOR OR CONVERTIBLE OR EXCHANGEABLE INTO SHARES OF SERIES A PREFERRED STOCK. SHARES OF SERIES A PREFERRED STOCK WILL HAVE A STATED VALUE OF $1,764.00 PER SHARE (THE “STATED VALUE”).
