THE NUMBER OF SHARES CONSTITUTING THE SERIES A PREFERRED STOCK IS 689,295. SHARES OF SERIES A PREFERRED STOCK MAY BE ISSUED IN WHOLE OR FRACTIONAL SHARES, ROUNDED TO THE NEAREST ONE-TEN THOUSANDTH OF A WHOLE SHARE OF SERIES A PREFERRED STOCK. ANY REFERENCE TO A SHARE OF SERIES A PREFERRED STOCK WILL, AS TO ANY FRACTIONAL SHARE, BE DEEMED TO BE MULTIPLIED BY THE APPLICABLE FRACTION OF THAT SHARE OF SERIES A PREFERRED STOCK. Designation and Ranking. The Corporation shall have authority to issue One Million Four Hundred Thousand (1,400,000) shares of Series B Preferred Stock, no par value per share (the "SERIES B PREFERRED Stock"). The Series B Preferred Stock shall, with respect to rights on liquidation, dissolution or winding up, rank (i) senior to the Series A Preferred Stock, and (ii) senior to all other subsequently designated series of Preferred Stock of the Corporation, and senior to the common stock of the Corporation.
