Destruction or Return of District Data. With the exception of De-identified Data that District has specifically agreed in writing to allow Contractor to use after termination or expiration of this Agreement, or District Data for which Contractor has specifically obtained consent from the parent, legal guardian or student to keep, within thirty (30) calendar days after termination or expiration of this Agreement, Contractor shall ensure that all District Data and PII that Contractor collected, generated or inferred pursuant to the Contract (“Contract Data”), is securely returned or Securely Destroyed, as directed by the District. In the event that the District requests destruction, Contractor agrees to Securely Destroy all District Data and Contract Data that is in its possession and cause its Subcontractors to Securely Destroy all District Data and Contract Data that is in the possession of any Subcontractors. If the District requests return, Contractor shall securely return all District Data and Contract Data to the authorized person specified by the District, using the methods requested by the District, in its discretion, including any applicable fees charged to the District by the Contractor. The Contractor shall promptly certify in writing to District that such District Data and Contract Data has been disposed of or returned securely.

In the event that the District requests destruction, Infinite Campus agrees to Securely Destroy all District Data and XXXX Data that is in its possession and cause its Subcontractors to Securely Destroy all District Data and XXXX Data that is in the possession of any Subcontractors. If the District requests return, Infinite Campus shall securely return all District Data and XXXX Data to the authorized person specified by the District, using the methods requested by the District, in its discretion, including any applicable fees charged to the District by Infinite Campus. Destruction or Return of District Data. With the exception of De-identified Data that District has specifically agreed in writing to allow Partner to use after termination or expiration of this Agreement, or District Data for which Partner has specifically obtained consent from the parent, legal guardian or student to keep, no later than (30) calendar days after termination or expiration of this Agreement, Partner shall certify in writing that all District Data and PII that Partner collected, generated or inferred pursuant to the Contract (“Contract Data”), is securely returned or Securely Destroyed, pursuant to Schedule 4 attached hereto.
Destruction or Return of District Data. The District is in full control over the District Data at all times through the administrator dashboard feature. The District is able to delete student personally identifiable information at any time and in real time using the administrator dashboard. Once that information is deleted, it is deleted from Contractor’s servers – first from Contractor’s servers and then, after two weeks later, from any back-up server. If information was not deleted by the District before the subscription expired or is terminated, Contractor retains such information for a limited period of six (6) months after expiration or termination.

  • Duration of processing and erasure or return of data Processing by the data importer shall only take place for the duration specified in Annex I.B. After the end of the provision of the processing services, the data importer shall, at the choice of the data exporter, delete all personal data processed on behalf of the controller and certify to the data exporter that it has done so, or return to the data exporter all personal data processed on its behalf and delete existing copies. Until the data is deleted or returned, the data importer shall continue to ensure compliance with these Clauses. In case of local laws applicable to the data importer that prohibit return or deletion of the personal data, the data importer warrants that it will continue to ensure compliance with these Clauses and will only process it to the extent and for as long as required under that local law. This is without prejudice to Clause 14, in particular the requirement for the data importer under Clause 14(e) to notify the data exporter throughout the duration of the contract if it has reason to believe that it is or has become subject to laws or practices not in line with the requirements under Clause 14(a).

  • Data Return and Destruction of Data (a) Protecting PII from unauthorized access and disclosure is of the utmost importance to the EA, and Contractor agrees that it is prohibited from retaining PII or continued access to PII or any copy, summary or extract of PII, on any storage medium (including, without limitation, in secure data centers and/or cloud-based facilities) whatsoever beyond the period of providing Services to the EA, unless such retention is either expressly authorized for a prescribed period by the Service Agreement or other written agreement between the Parties, or expressly requested by the EA for purposes of facilitating the transfer of PII to the EA or expressly required by law. As applicable, upon expiration or termination of the Service Agreement, Contractor shall transfer PII, in a format agreed to by the Parties to the EA.

  • Deletion or Return of Personal Data 8.1 Xxxx shall delete the Personal Data upon termination/expiry of the MSA as specified in the MSA or upon Client’s reasonable request within 30 days and ensure the deleted data is unrecoverable. Xxxx may retain Personal Data to the extent required by applicable laws and only to the extent and for such period as required by the applicable laws and always provided that Xxxx shall ensure the confidentiality of all such Personal Data and shall ensure that such Personal Data is only Processed as necessary for the purpose(s) specified in the applicable laws requiring its storage and for no other purpose.

  • Deletion or return of Company Personal Data 9.1 Subject to this section 9 Processor shall promptly and in any event within 10 business days of the date of cessation of any Services involving the Processing of Company Personal Data (the “Cessation Date”), delete and procure the deletion of all copies of those Company Personal Data.

  • Return of Data In the event of the termination of Executive’s employment with Company for any reason whatsoever, Executive agrees to deliver promptly to Company all formulas, correspondence, reports, computer programs and similar items, customer lists, marketing and sales data and all other materials pertaining to Confidential Information, and all copies thereof, obtained by Executive during the period of Executive’s employment with Company which are in Executive’s possession or under his control.   • Destruction of Data Provider shall destroy or delete all Personally Identifiable Data contained in Student Data and obtained under the DPA when it is no longer needed for the purpose for which it was obtained or transfer said data to LEA or LEA’s designee, according to a schedule and procedure as the parties may reasonable agree. Nothing in the DPA authorizes Provider to maintain personally identifiable data beyond the time period reasonably needed to complete the disposition.

  • Return or Destruction of Information Upon termination of this Agreement and at the request of ODM, the MCOP will return to ODM or destroy all PHI in the MCOP’s possession stemming from this Agreement as soon as possible but no later than 90 calendar days and will not keep copies of the PHI except as may be requested by ODM or required by law, or as otherwise allowed for under this Agreement. If the MCOP, its agent(s), or subcontractor(s) destroy any PHI, then the MCOP will provide to ODM documentation evidencing such destruction. Any PHI retained by the MCOP will continue to be extended the same protections set forth in this Section, HIPAA regulations and this Agreement for as long as it is maintained.

  • Early and Safe Return to Work The Hospital and the Union both recognize their obligations in facilitating the early and safe return to work of disabled employees. The Hospital and the Union agree that ongoing and timely communication by all participants in this process is essential to the success of the process.

  • Review of legality and data minimisation (a) The data importer agrees to review the legality of the request for disclosure, in particular whether it remains within the powers granted to the requesting public authority, and to challenge the request if, after careful assessment, it concludes that there are reasonable grounds to consider that the request is unlawful under the laws of the country of destination, applicable obligations under international law and principles of international comity. The data importer shall, under the same conditions, pursue possibilities of appeal. When challenging a request, the data importer shall seek interim measures with a view to suspending the effects of the request until the competent judicial authority has decided on its merits. It shall not disclose the personal data requested until required to do so under the applicable procedural rules. These requirements are without prejudice to the obligations of the data importer under Clause 14(e).
