Developer Self-Help. Notwithstanding anything to the contrary herein, but subject to the rights of the Lenders under the Lenders’ O&M Direct Agreement, upon the occurrence of any O&M Contractor Default and the expiration, without full and complete cure, of the relevant O&M Contractor Default Cure Period, if any, available to the O&M Contractor, without waiving or releasing the O&M Contractor from any obligations, the Developer shall have the right, but not the obligation, for so long as such O&M Contractor Default remains uncured by the O&M Contractor or the Developer, to pay and perform all or any portion of the O&M Contractor’s obligations and the O&M Activities that are the subject of such O&M Contractor Default, as well as any other then-existing breaches or failures to perform for which the O&M Contractor received prior written notice from the Developer but has not commenced or does not continue diligent efforts to cure. Exercise of such cure rights is subject to the terms and conditions of Section 23.4 of the Project Agreement.

Developer Self-Help. If the City defaults in the performance of any obligation under Section 4 of this Agreement, including without limitation, failing to achieve one or more Milestones within 14 days after the date established for that Milestone(s) in Section 4.04, Developer will have the right, but will not be obligated, to perform such obligation, notwithstanding the fact that no specific provision for such performance by Developer is made in this Agreement. To facilitate this possibility, the City will ensure that the work performed on the Wanapa Road Extension by each contractor, including any subcontractor (inclusively, “Contractor”), will be pursuant to a written contract, subcontract, or purchase agreement between the City and the Contractor. This contract will contain provisions that require the Contractor to continue and complete its work on the Wanapa Road Extension for Developer under the same terms in the event Developer elects the self-help remedy under this Section 6.01 and requests that the Contractor do so. As an alternative remedy, Developer may elect to hire a new contractor to complete the Wanapa Road Extension. If Developer is making this election, Developer will provide advance written notice to the City. Within 10 days after the City’s receipt of this notice, the City will assign any permits or consents to complete the Wanapa Road Extension to Developer. If Developer elects either of the self-help remedies in this subsection, Developer will not materially modify the scope of the Wanapa Road Extension to be completed by the Contractor or Developer’s new contractor without the City’s written consent, which consent will not be unreasonably withheld. In the event Developer’s self-help pursuant to this Section 6.01 causes Developer to incur reasonable expenses in excess of Developer’s Proportionate Share, the City will reimburse Developer for same, within 14 days after demand. Developer may exercise the foregoing right without waiving any other of its rights or releasing the City from any of its obligations under this Agreement.

  • TECHNOLOGY/KNOWLEDGE TRANSFER ACTIVITIES The goal of this task is to develop a plan to make the knowledge gained, experimental results, and lessons learned available to the public and key decision makers. The Recipient shall: • Prepare an Initial Fact Sheet at start of the project that describes the project. Use the format provided by the CAM. • Prepare a Final Project Fact Sheet at the project’s conclusion that discusses results. Use the format provided by the CAM. • Prepare a Technology/Knowledge Transfer Plan that includes: o An explanation of how the knowledge gained from the project will be made available to the public, including the targeted market sector and potential outreach to end users, utilities, regulatory agencies, and others.

  • EXTRA-CURRICULAR ACTIVITIES 1. In this agreement, extra-curricular programs and activities include all those that are beyond the provincially prescribed and locally determined curricula of the school.

  • Program Narrative All restricted xxxxxx courses which are taught for the purpose of qualifying an individual for restricted xxxxxx license to practice barbering shall consist of a minimum of 1200 hours of training to prepare each restricted xxxxxx to service their communities.

Discuss whether the goals and objectives of the Agreement have been met and what improvements are needed, if any.

  • Co-Curricular Activities G. The enrollment of the student of employees who reside outside the District shall be subject to School Board Policy 3.02(3)f, Out-of-County Students.

  • Cyber incident damage assessment activities If DoD elects to conduct a damage assessment, the Contracting Officer will request that the Contractor provide all of the damage assessment information gathered in accordance with paragraph (e) of this clause.

  • Development Activities The Development activities referred to in item “b” of paragraph 3.1 include: studies and projects of implementation of the Production facilities; drilling and completion of the Producing and injection xxxxx; and installation of equipment and vessels for extraction, collection, Treatment, storage, and transfer of Oil and Gas. The installation referred to in item “c” includes, but is not limited to, offshore platforms, pipelines, Oil and Gas Treatment plants, equipment and facilities for measurement of the inspected Production, wellhead equipment, production pipes, flow lines, tanks, and other facilities exclusively intended for extraction, as well as oil and gas pipelines for Production Outflow and their respective compressor and pumping stations.
