Disbursement of Escrow Documents. As set forth in Recital G., above, the Escrow Documents deposited with the Escrow Agent have been finalized and executed as required by the PPP Agreement and release LS from any additional costs associated with the intersection improvements at Castle Pines Parkway and Lagae Road. The Escrow Agent shall release the Escrow Documents for recording in the County Records upon LS’s and the City’s acquisition of the Lagae Family Parcel (the “Escrow Documents Release Condition”). LS may make a written request to the Escrow Agent for release of the Escrow Documents, a copy of which shall be simultaneously sent to the City at the address set forth in the notification provision of this Escrow Agreement. In such written request, LS shall provide evidence that all of the Escrow Documents Release Condition has been satisfied. Unless the City provides notice of disapproval of the Escrow Documents release request within ten (10) calendar days after its receipt of such written request, the Escrow Agent shall release the Escrow Documents for recording in the County Records. If Escrow Agent and LS timely receive an objection notice, then LS and the City shall promptly meet and in good faith attempt to resolve all objections and provide mutually-acceptable direction(s) to Escrow Agent to release the Escrow Documents.

Disbursement of Escrow Documents. Within three (3) hours of notice from the Representative or the Attorney-in-Fact (as defined in the Power of Attorney)(on behalf of Represented Sellers), or jointly from Xxxxxx or Thales as the case may be, that the Closing is taking place in accordance with Section 2.03 of the Purchase Agreement, the Escrow Agent shall release and cause to be delivered to the Purchaser the Xxxx of Sale, Bring-Down Certificate and Release held pursuant hereto (the "Escrow Documents").

The Escrow Agent may earn compensation in the form of short-term interest (“float”) on items like uncashed distribution checks (from the date issued until the date cashed), funds that the Escrow Agent is directed not to invest, deposits awaiting investment direction or received too late to be invested overnight in previously directed investments.

  • Delivery of Escrow Funds Upon confirmation by Escrow Agent that the following conditions have been satisfied, Escrow Agent shall disburse the Escrow Funds to Recipient in connection with the closing of the purchase of the Property or other interest therein:

  • Investment of Escrow Amount Escrow Agent may, at its’ discretion, invest any or all of the Escrow Account balance as permitted by banking or trust company regulations. No interest shall be paid to Issuer or Subscribers on balances in the Escrow Account or in Issuers custodial account.

  • Release of Escrow Funds The Escrow Funds shall be paid by the Escrow Agent in accordance with the following:
