Disposition of Officers of the Company If the above step shall fail to secure satisfactory settlement, the grievance may be appealed to the officer of the Company or its designated representatives and be processed by them and the accredited representatives of the Union. If, at this meeting, the grievance is not satisfactorily settled, the Company shall state its disposition in writing and reasons therefore within three (3) working days, excluding Saturdays, Sundays, and Holidays from the time of presentation at the meeting. In case of failure to answer the grievance within the time limitation, as stated in Step 3 (unless agreed to extend the time limit in writing by mutual agreement) the agreement sought by the aggrieved employee or Shop Committee as the case may be shall be considered as the final adjustment to be effectuated. The Union shall appeal Grievances to Arbitration within one hundred twenty-five (125) days following the Union's receipt of the Company's Third Step Grievance answer. Grievances must be appealed by the Union to Arbitration within the aforementioned one hundred twenty-five (125) day period or such Grievances shall be considered withdrawn without precedent.

  • Election of Officers After their election the Managers shall meet and organize by electing a President from their own number, a Secretary and a Treasurer, and any other officers determined to be necessary by the Board, who may, but need not, be Managers. Any two or more of such offices, except those of President and Secretary, may be held by the same person.

  • Resignation of Officers and Directors The Company shall use all reasonable efforts to obtain and deliver to Parent prior to the Closing the resignation of each officer and director of the Company.
