Dispositions financières. Chaque Partie assumera les coûts de ses responsabilités respectives aux termes du présent Accord. La conduite des activités relevant du présent Ac- cord respectera les lois et règlements pertinents des deux Parties.

Dispositions financières. Les dispositions financières relatives à la couverture des dépenses liées aux activités de coopération entreprises dans le cadre du présent Accord sont convenues d’un commun accord par les Parties, au cas par cas, et sous réserve de la disponibilité des fonds et des ressources de chaque Partie.
Dispositions financières. Le financement des visites visées au présent Accord se fait conformément au principe de réciprocité de la manière suivante : a. La Partie d’envoi prend à sa charge : 1) Les frais de déplacement en provenance et à destination du territoire de la Partie hôte; 2) Les frais d’assurance du personnel, y compris d’assurance maladie; 3) Les documents requis par les autorités de la Partie d’accueil, pour entrer sur son territoire et le quitter. b. La Partie d’accueil prend à sa charge : 1) Les frais de transport à l’intérieur de son territoire; 2) Les frais d’hébergement et de restauration pour une période maximale de sept jours calendaires et pour des délégations de moins de 10 participants. La couverture financière des frais associés au séjour sur le territoire de la Partie d’accueil de délégations de plus de 10 participants ou pour une période de plus de 7 jours calendaires fait l’objet d’un accord préalable, au cas par cas.

Les programmes de coopération prévus dans le cadre du présent Accord sont soumis à la disponibilité des fonds appropriés de la part des Agents d’exécution et à leurs procédures de financement respectives. 3. Chaque accord de mise en œuvre définit, entre autres, les dispositions financières spécifiques et détaillées relatives aux programmes de coopération.
Dispositions financières. 4.1 Calcul du tarif et votre paiement. Vous avez le droit d’imputer des frais de transport pour chaque cas de Services de transport fournis à un Utilisateur qui sont obtenus par l’intermédiaire des Services Uber (le « Tarif utilisateur»), où le Tarif utilisateur est calculé en fonction d’un tarif de base et de la distance (telle que déterminée par la Société en utilisant les services de géolocalisation activés sur l’Equipement électronique) et/ou du temps écoulé, comme indiqué sur xxx.xxxx.xxx/xxxxxx pour le Territoire applicable (le « Calcul du tarif »). Vous êtes également autorisé à imputer à l’Utilisateur les Péages, taxes ou frais encourus au cours de la fourniture des Services de transport, le cas échéant. Vous : (i) désignez la Société en tant qu’agent de collecte des paiements dans les seuls cas pour lesquels il s’agit d’accepter le Tarif utilisateur, les Péages applicables et, selon la région et/ou si vous le demandez, les taxes et frais applicables à l’Utilisateur pour votre compte par l’intermédiaire de la fonction de traitement des paiements proposée par les Services Uber ; et (ii) convenez que le paiement effectué par l’Utilisateur à la Société sera considéré comme un paiement effectué directement par l’Utilisateur à vous-même. En outre, les parties reconnaissent et acceptent qu’en ce qui concerne la relation entre vous et la Société, le Tarif utilisateur est un montant recommandé, et l’objectif principal du Tarif utilisateur prédéfini est de jouer le rôle de tarif par défaut si vous ne négociez pas de tarif différent. Vous aurez toujours le droit : (i) d’imputer un tarif inférieur au Tarif utilisateur prédéfini ; ou (ii) de négocier, sur votre demande, un Tarif utilisateur inférieur au Tarif utilisateur prédéfini (les tarifs (i) et (ii) étant dénommés les « Tarifs négociés »). La Société s’engage à étudier de bonne foi xx xxxxxx demandes de votre part. La Société s’engage à vous xxxxxx, ou vous faire xxxxxx, au moins une fois par semaine : (a) le Tarif utilisateur moins les Frais de service applicables ; (b) les Péages ; et (c) selon la région, certains frais et taxes annexes.   • Asset Sales The Parent Borrower will not, and will not permit any of the Subsidiaries to, sell, transfer, lease or otherwise dispose of any asset, including any Equity Interest owned by it, nor will the Parent Borrower permit any of the Subsidiaries to issue any additional Equity Interest in such Subsidiary, except: (a) sales of inventory, used or surplus equipment and Permitted Investments in the ordinary course of business; (b) sales, transfers and dispositions to the Parent Borrower or a Subsidiary, provided that any such sales, transfers or dispositions involving a Subsidiary that is not a Subsidiary Loan Party shall be made in compliance with Section 6.09; (c) sale and leaseback transactions permitted by Section 6.06; (d) sales, transfers and other dispositions of assets (other than Equity Interests in a Subsidiary) that are not permitted by any other clause of this Section, provided that the aggregate fair market value of all assets sold, transferred or otherwise disposed of in reliance upon this clause (c) shall not exceed $25,000,000 during any fiscal year of the Parent Borrower or $50,000,000 in the aggregate during the term of this Agreement; (e) licenses and sublicenses of intellectual property rights, granted in the ordinary course of business and not interfering individually or in the aggregate in any material respect with the conduct of the business of the Parent Borrower and the Subsidiaries; and (f) trade-ins, trade-ups and other similar exchanges of equipment of the Parent Borrower and the Subsidiaries for other equipment to be used in the business of the Parent Borrower and the Subsidiaries made in the ordinary course of business; provided that all sales, transfers, leases and other dispositions permitted hereby (other than those permitted by clause (b) above) shall be made for fair value and (other than those permitted by clause (b) or (f) above) for consideration at least 85% of which is cash.

Entity Acquisitions permitted pursuant to this Section 6.15 shall be deemed to be “Permitted Acquisitions”.

  • Asset Sale The Company or the Parent shall not and shall not permit any of their respective Subsidiaries to, in one or a series of related transactions, convey, sell, transfer, assign or otherwise dispose of, directly or indirectly, any of their property, business or assets, including by merger or consolidation (in the case of a Subsidiary or Unrestricted Subsidiary), and including any sale or other transfer or issuance of any Equity Interests of any Subsidiary, whether by the Company or the Parent or one of their respective Subsidiaries or through the issuance, sale or transfer of Equity Interests by one of their respective Subsidiaries or Unrestricted Subsidiaries and including any sale and leaseback transaction (any of the foregoing, an "Asset Sale"), unless: (1) at least 75% of the total consideration for such Asset Sale or series of related Asset Sales consists of cash or Cash Equivalents; provided, that with respect to the sale of one or more hotel properties, up to 75% of the consideration may consist of Indebtedness of the purchaser of such hotel properties so long as such Indebtedness is secured by a first priority Lien on the hotel property or properties sold; (2) no Default or Event of Default shall have occurred and be continuing at the time of, or would occur after giving effect, on a pro forma basis, to such Asset Sale; and (3) the Parent and the Company determine in good faith that the consideration received by the Parent, the Company or their respective Subsidiaries, as applicable, equals the fair market value for such Asset Sale. In the event and to the extent that immediately following any Asset Sale the Net Cash Proceeds received by the Company or the Parent or any of their respective Subsidiaries from such Asset Sale, plus the Net Cash Proceeds of any other Asset Sale(s) which occurred (i) on or after the Issue Date and (ii) within the 360-day period proceeding such Asset Sale, exceed 10% of Adjusted Consolidated Net Tangible Assets, the Indenture provides that within 360 days following such Asset Sale, the Net Cash Proceeds therefrom (the "Asset Sale Amount") shall be: (1) invested in assets and property (except in connection with the acquisition of a Subsidiary which is a Guarantor in a Related Business, other than notes, bonds, obligation and securities) which shall immediately constitute or be a part of a Related Business of the Company or the Parent or such Subsidiary (if it continues to be a Subsidiary) immediately following such transaction, or (2) used to retire Indebtedness incurred under the Credit Agreement and to permanently reduce the amount of such Indebtedness permitted to be incurred pursuant to Section 4.7(b) of the Indenture. Pending the final application of any Net Cash Proceeds, the Company or the Parent may temporarily reduce revolving credit borrowings or otherwise invest the Net Cash Proceeds in any manner that is not prohibited by the Indenture. The accumulated Net Cash Proceeds from Asset Sales not applied as set forth above shall constitute "Excess Proceeds." Within 30 days after the date that the amount of Excess Proceeds exceeds $10 million, which date shall not be prior to 390 days after the Asset Sale that generated such Excess Proceeds, the Company shall apply an amount (the "Asset Sale Offer Amount") equal to the Excess Proceeds to the repurchase of the Notes and such other Indebtedness ranking on a parity with the Notes and with provisions requiring the Company to make an offer to purchase such Indebtedness with the proceeds from such Asset Sale pursuant to a cash offer (subject only to conditions required by applicable law, if any) (pro rata in proportion to the respective principal amounts (or accreted values in the case of Indebtedness issued with an original issue discount) of the Notes and such other Indebtedness then outstanding) (the "Asset Sale Offer") at a purchase price of 100% of the principal amount (or accreted value in the case of Indebtedness issued with an original issue discount) (the "Asset Sale Offer Price") together with accrued and unpaid interest and Liquidated Damages, if any, to the date of payment. Each Asset Sale Offer shall remain open for 20 Business Days following its commencement (the "Asset Sale Offer Period").

  • Liquidations, Mergers, Consolidations, Acquisitions Holdings shall not, and shall not permit any of its Material Subsidiaries to, dissolve, liquidate, or wind-up its affairs, or become a party to any amalgamation, merger or consolidation, or acquire by purchase, lease, or otherwise all or substantially all of the assets or capital stock of or other ownership interest in any other Person, provided that (1) any Material Subsidiary may consolidate, amalgamate or merge into Holdings or any other Material Subsidiary provided that the Company may not merge, amalgamate or consolidate with Holdings, and the Company may only merge, amalgamate or consolidate with another Material Subsidiary if the Company is the surviving entity of such merger, amalgamation or consolidation; and (2) Holdings or any Material Subsidiary may acquire, whether by purchase, by amalgamation or by merger, (A) all of the ownership interests of another Person or (B) substantially all of the assets of another Person or of a business or division of another Person (each a “Permitted Acquisition”), provided that each of the following requirements is met: (i) if Holdings or any Material Subsidiary is acquiring the ownership interests in such Person and such Person meets the criteria for a Material Subsidiary set forth in the definition of such term at Section 1.01, such Person shall execute a Guarantor Joinder and join this Agreement as a Guarantor pursuant to Section 10.18 [Joinder of Guarantors] on or before the date of such Permitted Acquisition; (ii) the board of directors or other equivalent governing body of such Person shall have approved such Permitted Acquisition and Holdings or the relevant Material Subsidiary shall have delivered to the Banks written evidence of such approval of the board of directors (or equivalent body) of such Person for such Permitted Acquisition; (iii) the business acquired, or the business conducted by the Person whose ownership interests are being acquired, as applicable, shall be substantially the same as, or otherwise complementary or related to, one or more lines of business conducted by Holdings or any Material Subsidiary, or otherwise incidental to the business of a financial services company, and shall comply with Section 7.02(j) [Continuation of or Change in Business]; (iv) no Potential Default or Event of Default shall exist immediately prior to and after giving effect to such Permitted Acquisition; and (v) upon the reasonable request of Agent, Holdings or the relevant Material Subsidiary shall deliver to the Agent at least five (5) Business Days before such Permitted Acquisition such information about such Person or its assets as Agent may reasonably require.
