The terms "this Agreement", "hereof", "herein", "hereunder" and similar expressions refer to this Agreement and not to any particular Article, Section or other portion of the Agreement.

Division of Agreement. If, at any time during the Term, an Applicable Regulatory Authority with jurisdiction over a material portion of the Services determines that it is unlawful for Supplier, its Subcontractors and/or Managed Telecom Transport Providers to provide both regulated and non-regulated Services under a single agreement, the Parties agree to execute a separate agreement under which the non-regulated services will be provided and, except as otherwise agreed by the Parties or required by applicable Laws, the terms and conditions applicable to such non-regulated Services shall be identical in all non-material respects to those provided herein.

Division of Agreement. The parties, with the agreement of the Town as evidenced by its signature below, intend that the Agreement be divisible and separable with respect to the Assigned Rights, on one hand, and the Previously Assigned Rights, on the other hand, to the extent that such rights are held by different entities. By way of example, but without limitation: (a) Notwithstanding the provisions of the first sentence of Section 14 of the Agreement, the Agreement may be amended with respect to the Assigned Rights only by a written agreement fully executed by the Town and Assignee, and no consent of Assignor shall be required for such amendment to be effective. Further, the Agreement may be amended with respect to the Previously Assigned Rights only in accordance with the instruments assigning such Previously Assigned Rights. (b) Notwithstanding the provisions of Section 10 of the Agreement, disputes between the Town and Assignee relating to the Assigned Rights shall be resolved exclusively between the Town and Assignee. Disputes relating to the Previously Assigned Rights shall be resolved only in accordance with the instruments assigning such Previously Assigned Rights. (c) Notwithstanding the provisions of Section 13 of the Agreement, an incident of default that relates to the Assigned Rights shall be separate and distinct from an incident of default that relates to the Previously Assigned Rights. 2962763v1/15691-0023 2 The rights and remedies under Section 13 arising from an incident of default that relates to the Assigned Rights shall be strictly limited to those available to the City and Assignee, respectively, as against each other and with respect to the Property, and in no event shall such incident of default affect the rights and obligations of the City and the applicable assignee of Assignor’s interest under the Agreement with respect to the Previously Assigned Rights. The rights and remedies under Section 13 arising from an incident of default that relates to the Previously Assigned Rights shall be strictly limited to those available to the City and the applicable assignee of Assignor’s interest under the Agreement with respect to the Previously Assigned Rights, as against each other and with respect to real property other than the Property, and in no event shall such incident of default affect the rights and obligations of the City and Assignee under the Agreement with respect to the Assigned Rights.

Each party and its counsel cooperated in the drafting and preparation of this Agreement and the documents referred to herein, and any and all drafts relating thereto shall be deemed the work product of the parties and may not be construed against any party by reason of its preparation. Accordingly, any rule of law or any legal decision that would require interpretation of any ambiguities in this Agreement against the party that drafted it is of no application and is hereby expressly waived. The provisions of this Agreement shall be interpreted in a reasonable manner to effect the intentions of the parties and this Agreement.

  • CERTIFICATION OF AGREEMENT In accordance with section 170LT of the Workplace Relations Act 1996, I now certify the attached written agreement.   • Application of Agreement 4.1 This Agreement applies to: (a) Xxxxx Fabrications Pty Ltd (the Employer) (b) the CFMEU (the Union) (c) all Employees of the Employer engaged in construction work and for whom classifications and rates of pay are provided by this Agreement (the Employee). Collectively known as Parties 4.2 This Agreement only applies to work done in Queensland or Northern Territory and to work temporarily done outside Queensland or Northern Territory by Employees who are based in Queensland or Northern Territory, except where employees are covered by a subsequent Greenfields agreement made under s.182(3) of the Fair Work Act 2009 (Cth) and approved by the Fair Work Commission.
