Common use of Document Retention and Audit Clause in Contracts

Document Retention and Audit. For seven (7) years after the expiration of the Term, the Supplier shall maintain all necessary records to substantiate: (a) All charges and payments under the Contract; and (b) That the Deliverables were provided in accordance with the Contract and with Requirement of Law. During the Term, and for seven (7) years after the Term, the Supplier shall permit and assist CN | CN in conducting audits of the operations of the Supplier to verify (a) and (b) above. CN | CN shall provide the Supplier with at least ten (10) Business days prior notice of its requirement for such audit. The Supplier’s obligations under this paragraph shall survive any termination or expiry of the Contract.
