Notice and Protective Order. If the Supplier or any of its directors, officers, employees, agents, partners, affiliates, volunteers or subcontractors become legally compelled to disclose any Board Confidential Information, the Supplier will provide the Board with prompt notice to that effect in order to allow the Board to seek one or more protective orders or other appropriate remedies to prevent or limit such disclosure, and it shall co-operate with the Board and its legal counsel to the fullest extent. If such protective orders or other remedies are not obtained, the Supplier will disclose only that portion of the Board Confidential Information which the Supplier is legally compelled to disclose, only to such person or persons to which the Supplier is legally compelled to disclose, and the Supplier shall provide notice to each such recipient (in co-operation with legal counsel for the Board) that such Board Confidential Information is confidential and subject to non-disclosure on terms and conditions equal to those contained in the Contract and, if possible, shall obtain each recipient's written agreement to receive and use such Board Confidential Information subject to those terms and conditions.

(a) If an Other Party, or any of them, any Affiliate of such Other Party, its general partner(s), its Limited Partners or Persons that directly or indirectly control any Limited Partner, or to its knowledge any of their respective directors, agents or Representatives, as applicable, become legally compelled to disclose any Confidential Information of the Counterparty, such Other Party will provide the Counterparty with prompt notice to that effect in order to allow the Counterparty to seek one or more protective orders or other appropriate remedies to prevent or limit such disclosure, and it shall co-operate with the Counterparty and its legal counsel to the fullest extent at the Counterparty’s cost and expense. If such protective orders or other remedies are not obtained, such Other Party will disclose or cause such other Person to disclose, only that portion of the Confidential Information of the Counterparty which such Other Party or such Person is legally compelled to disclose, only to such Person or Persons to which such Other Party or such Person is legally compelled to disclose, and such Other Party shall provide notice to each such recipient (in co-operation with legal counsel for the Counterparty) that such Confidential Information of the Counterparty is confidential and subject to non-disclosure on terms and conditions equal to those contained in this Agreement and, if practicable, shall obtain each recipient’s written agreement to receive and use such Confidential Information of the Counterparty subject to those terms and conditions.

If a Party or any of its advisors, agents, directors, commissioners, officers, partners, Personnel, representatives or contractors becomes legally compelled to disclose any Confidential Information, that Party shall provide each of the other Parties, with prompt notice to that effect to allow any of the Parties, to seek one or more protective orders or other appropriate remedies to prevent or limit such disclosure, and it shall co-operate with the other Parties, and their respective legal counsel to the fullest extent. If such protective orders or other remedies are not obtained, the Party will disclose only that portion of the Confidential Information which the Party is legally compelled to disclose, only to such person or persons to which the Party is legally compelled to disclose, and the Party shall provide notice to each such person or persons – in co-operation with legal counsel for the other Parties – that such Confidential Information is confidential and subject to non-disclosure on terms and conditions substantially similar to and not materially less protective than those in this Agreement and shall obtain the written agreement of each such person or persons to receive and use such Confidential Information subject to those terms and conditions.

If such protective orders or other remedies are not obtained, the Individual will disclose only that portion of Contact North | Contact Nord Confidential Information which the Individual is legally compelled to disclose, only to such person or persons to which the Individual is legally compelled to disclose, and the Individual shall provide notice to each such recipient (in co-operation with legal counsel for Contact North | Contact Nord) that such Contact North | Contact Nord Confidential Information is confidential and subject to non-disclosure on terms and conditions equal to those contained in the Contract and, if possible, shall obtain each recipient's written agreement to receive and use such Contact North | Contact Nord Confidential Information subject to those terms and conditions. FIPPA Records and Compliance The Individual and Contact North | Contact Nord acknowledge and agree that FIPPA applies to and governs all Records and may require the disclosure of such Records to third parties. Furthermore, the Individual agrees (a) to keep Records secure; (b) to provide Records to Contact North | Contact Nord within seven (7) calendar days of being directed to do so by Contact North | Contact Nord for any reason including an access request or privacy issue; (c) not to access any Personal Information unless Contact North | Contact Nord determines, that access is permitted under FIPPA and is necessary in order to provide the Deliverables; (d) not to directly or indirectly use, collect, disclose or destroy any Personal Information for any purposes that are not authorized by Contact North | Contact Nord; (e) to ensure the security and integrity of Personal Information and keep it in a physically secure and separate location safe from loss, alteration, destruction or intermingling with other records and databases and to implement, use and maintain the most appropriate products, tools, measures and ...
