Due Organization, Standing and Power. The Company is a limited ---------------------------------------- liability company duly organized, validly existing and in good standing under the laws of the State of Delaware. Each of the Subsidiaries is duly organized, validly existing and in good standing under the laws of the jurisdiction of its formation or organization as is more particularly identified in the definition of "Subsidiaries" set forth herein. The Company has full limited liability company power and authority, and each of the Subsidiaries has full power and authority as a limited partnership (for those Subsidiaries that are limited partnerships) or as a limited liability company (for those Subsidiaries that are limited liability companies) and as a general partnership (for the Subsidiary that is a general partnership), and possesses all governmental franchises, licenses, Permits, authorizations and approvals necessary to enable it to own, lease or otherwise hold its respective assets and to conduct its respective Business as presently conducted. The Company is duly qualified to do business as a foreign limited liability company and each of its Subsidiaries is duly qualified to do business as a foreign limited partnership in each jurisdiction set forth on Section 5.1 of the Disclosure Schedule, which constitute the only jurisdictions where the character of the assets held by it or the nature of its business make such qualification necessary for it to conduct the Business as currently conducted by it, except where the failure to be so qualified would not reasonably be expected to have a Company Material Adverse Effect.

The Company is not obligated to make any future investment in or capital contribution to any Entity.

Montauk is duly qualified to do business as a foreign limited liability company in each jurisdiction where the character of the assets held by it or the nature of the Business conducted by it make such qualification necessary for it to conduct the Business as currently conducted by it, except where the failure to so qualify would not have a Material Adverse Effect. Seller has delivered or made available to Purchaser true, accurate and complete copies of Montauk’s certificate of formation, operating agreement, and minute books relating to meetings of the managers and member of Montauk, and membership interest transfer records, which books and records are complete and correct in all material respects.

The Seller has all requisite corporate power and authority and possesses all material governmental franchises, licenses, permits, authorizations and approvals necessary (a) to enable it to own, lease or otherwise hold its Purchased Assets and (b) to conduct the Business as currently conducted.

Each of the Company Articles and the Company Regulations were duly adopted and is in full force and effect as of the date of this Agreement. Neither the Company nor any Company Subsidiary is in violation in any material respect of any provision of such documents.
