Duties and Engagement. During the Term (defined below), Xxxxxxxxxx agrees to render consulting services to the Company on such matters as the Board or Chief Executive Officer may request within Szymanczyk’s knowledge and experience related to the businesses of the Company and its subsidiaries (collectively, the “Services”). The Services shall include, without limitation, assisting the new Chief Executive Officer with his transition, serving as a strategic advisor to the Chief Executive Officer and other senior management, advising on the Company’s strategic planning process, assisting with preparation for Board meetings, and advising and assisting on such other matters as may be requested by the Board or Chief Executive Officer and agreed to by Szymanczyk, which agreement may not be unreasonably withheld. Szymanczyk shall provide Services for at least twenty (20) hours per month and for no more than thirty (30) hours per month. Notwithstanding the foregoing, Szymanczyk’s level of services shall not exceed twenty (20) percent of the average level of services that Szymanczyk performed over the thirty-six month (36) period immediately preceding the Retirement Date, consistent with the parties’ intent that Szymanczyk’s retirement shall constitute a “separation from service” within the meaning of Section 409A of the Internal Revenue Code.

Duties and Engagement. During the period commencing on April 1, 2013 and ending on December 31, 2013, unless earlier terminated as provided in Section 9 of this Agreement (the “Term”), Xx. XxXxxxxxx agrees to render consulting services to the Company on such matters as the Chairman of the Board or the Chief Executive Officer of the Company may request within Xx. XxXxxxxxx’x knowledge and experience related to the businesses of the Company and its subsidiaries (collectively, the “Services”). The Services shall include, without limitation, assisting the new Chief Executive Officer with his transition, serving as a strategic advisor to the Chief Executive Officer and the Board of Directors, advising on the Company’s strategic planning process, assisting with preparation for Board meetings, and advising and assisting on such other matters as may be requested by the Chairman of the Board or the Chief Executive Officer and agreed to by Xx. XxXxxxxxx, which agreement may not be unreasonably withheld. Unless mutually agreed in writing by the parties to this Agreement, Xx. XxXxxxxxx shall provide Services for no more than 40 hours per month. Notwithstanding the foregoing, Xx. XxXxxxxxx’x level of services shall not exceed twenty (20) percent of the average level of services that Xx. XxXxxxxxx performed over the thirty-six (36) month period immediately preceding the Effective Date, consistent with the parties’ intent that the Effective Date shall constitute a “separation from service” within the meaning of Section 409A of the Internal Revenue Code.
Duties and Engagement. 1.1 The Company hereby engages the Consultant as an independent contractor and the Consultant accepts such engagement.   • Duties and Services Executive agrees to serve in the position(s) referred to in Section 2.2 and to perform diligently the duties and services appertaining to such offices, as well as such additional duties and services appropriate to such offices which the parties mutually may agree upon from time to time. Executive’s employment shall also be subject to the policies maintained and established by the Company and the Parent that are of general applicability to the Company’s and the Parent’s employees, as such policies may be amended from time to time.

  • Employment, Duties and Agreements (a) The Company hereby agrees to employ the Executive as its Senior Vice President and the Executive hereby accepts such position and agrees to serve the Company in such capacity during the employment period described in Section 3 hereof (the “Employment Period”). In such capacity, he shall render such executive, managerial, administrative and other services as customarily are associated with and incident to such positions, and as the Company may, from time to time, reasonably require of him consistent with such positions.

  • Employment Duties and Responsibilities A) The Company shall employ the Executive, and the Executive shall serve the Company, as President and Chief Executive Officer, with such duties and responsibilities as may be assigned to the Executive by the Board of Directors of the Company (“BOD”) and are typically associated with a position of that nature.

  • Duties and Responsibilities of Executive During the Employment Period, Executive shall devote his full working time to (a) the business of the Company and its Affiliates and (b) performance of the duties and responsibilities assigned to Executive to the best of Executive’s ability and with reasonable diligence.   • DUTIES AND RESPONSIBILITIES OF FMFS FMFS shall perform all of the customary services of a transfer agent and dividend disbursing agent, and as relevant, agent in connection with accumulation, open account or similar plans (including without limitation any periodic investment plan or periodic withdrawal program), including but not limited to:

  • Duties and Responsibilities (a) The Auction Agent is acting solely as agent for the Company hereunder and owes no fiduciary duties to any other Person by reason of this Agreement.

  • Performance of Duties and Responsibilities Executive shall serve the Company faithfully and to the best of her ability and shall devote her full working time, attention and efforts to the business of the Company during her employment with the Company hereunder. (the “Board”). Executive hereby represents and confirms that she is under no contractual or legal commitments that would prevent her from fulfilling her duties and responsibilities as set forth in this Agreement. During her employment with the Company, Executive shall not accept other employment or engage in other material business activity, except as approved in writing by the Board. Executive may participate in charitable activities and personal investment activities to a reasonable extent, and she may serve as a director of business organizations as approved by the Board, so long as such activities and directorships do not interfere with the performance of her duties and responsibilities hereunder.

  • Duties and Status The Company hereby engages Executive as its President and CEO on the terms and conditions set forth in this Agreement including the terms and conditions of the Employee Proprietary Information, Inventions, and Non-Competition Agreement attached hereto as Exhibit A and incorporated herein (the “Non-Disclosure Agreement”). Executive agrees to devote the Executive’s entire business time, attention and energies to the business and interests of the Company during the Employment Period. During the Employment Period, Executive shall report directly to the Board of Directors (the “Board”) and shall exercise such authority, perform such executive functions and discharge such responsibilities as are reasonably associated with Executive’s position, commensurate with the authority vested in Executive pursuant to this Agreement and consistent with the governing documents of the Company.

  • Duties and Reporting Relationship During the Term, the Executive shall, on a full time basis, use his skills and render services to the best of his ability in supervising and conducting the operations of the Company.
