Employment, Duties and Agreements. (a) The Employer hereby agrees to employ the Employee as its Chief Executive Officer, and the Employee shall serve, subject to shareholder election after her initial appointment, without additional compensation, as a member of the Board of Directors of the Employer (the “Board”), subject to the By-laws of the Employer, as applicable, and the Employee hereby accepts such positions and agrees to serve the Employer in such capacities during the employment period fixed by Section 3 hereof (the “Employment Period”). The Employee shall report to the Board and shall have such duties, authority and responsibilities, and shall act in accordance with all reasonable instructions and directions of the Board and of the Employer, in each case, as are consistent with her position as Chief Executive Officer of the Employer. (b) During the Employment Period, excluding any periods of vacation and sick leave to which the Employee is entitled, the Employee shall devote her full working time, energy and attention to the performance of her duties and responsibilities hereunder and shall faithfully and diligently endeavor to promote the business and best interests of the Employer. (c) During the Employment Period, the Employee may not, without the prior written consent of the Employer, operate, participate in the management, operations or control of, or act as an employee, officer, consultant, agent or representative of, any type of business or service (other than as an employee and director of the Employer), provided that it shall not be a violation of the foregoing or of Section 1(b) above for the Employee to (i) act or serve as a director, trustee or committee member of any civic or charitable organization, (ii) manage her personal, financial and legal affairs, or (iii) serve as a director of ON Semiconductor Corporation, Atheros Communications, and Open Silicon Inc., so long as such activities (described in clauses (i), (ii), and (iii)) do not interfere with the performance of her duties and responsibilities to the Employer as provided hereunder. Service on any other entity’s board of directors must be approved by the Board.

Employment, Duties and Agreements. (a) The Company hereby agrees to continue to employ the Executive as its Senior Vice President, General Counsel and Secretary, and the Executive hereby accepts such position and agrees to continue to serve the Company in such capacity during the employment period fixed by Section 3 hereof (the “Employment Period”). The Executive shall have such duties and responsibilities as are consistent with the Executive’s position and as may be assigned by the Company from time to time. During the Employment Period, the Executive shall be subject to, and shall act in accordance with, all reasonable instructions and directions and all applicable policies and rules of the Company. (b) During the Employment Period, excluding any periods of vacation and sick leave to which the Executive is entitled, the Executive shall devote his full working time, energy and attention to the performance of his duties and responsibilities hereunder and shall faithfully and diligently endeavor to promote the business and best interests of the Company. During the Employment Period, the Executive may not, without the prior written consent of the Company, directly or indirectly, operate, participate in the management, operations or control of, or act as an executive, officer, consultant, agent or representative of, any type of business or service (other than as an executive of the Company). It shall not, however, be a violation of the foregoing provisions of this Section 1(b) for the Executive to (i) subject to the approval of the Board, serve as an officer or director or otherwise participate in non-profit, educational, welfare, social, religious and civil organizations, or (ii) manage his personal, financial and legal affairs, so long as any such activities in (i) and (ii) do not interfere with the performance of his duties and responsibilities to the Company as provided hereunder. (c) In connection with the Executive’s employment by the Company under this Agreement, the Executive shall be based at the principal executive offices of the Company, currently located in Beachwood, Ohio, except for such travel as the performance of the Executive’s duties in the business of the Company may require. (d) The Severance Agreement, dated as of August 30, 2005, by and between the Company and the Executive (the “Severance Agreement”) is expressly assumed hereby as contemplated in section 10(b)
Employment, Duties and Agreements. (a) The Company hereby employs the Executive, and the Executive hereby agrees to be employed by the Company during the Term, as the Company’s President and Chief Executive Officer on the terms and conditions set forth herein, “Term” shall mean the period commencing on June 1, 2006 (the “Effective Date”) and ending on December 31, 2007; provided, that the Term shall be extended automatically for successive one-year periods, at the rate of Base Salary and on other terms then in effect pursuant to this Agreement, unless written notice of an election not to extend is given by either party to the other at least ninety (90) days prior to the date the Term would then otherwise expire absent its extension; provided, that the Term may be terminated prior to its scheduled expiration date in accordance with Section 3 hereof. Upon any expiration of the Term, the Executive’s employment with the Company shall be at will.

(c) During the Employment Period, the Employee may not, without the prior written consent of the Board, which consent shall not be unreasonably withheld, operate, participate in the management, operations or control of, or act as an employee, officer, consultant, agent or representative of, any type of business or service (other than as an employee of the Employer), provided that it shall not be a violation of the foregoing for the Employee to act or serve as a director on the boards of directors of any type of civil, cultural, philanthropic or professional organization so long as such activities do not interfere with the performance of Employee's duties and responsibilities to the Employer as provided hereunder.

(c) During the Employment Period, the Executive may not, without the prior written consent of the Company, directly or indirectly, operate, participate in the management, operations or control of, or act as an executive, officer, consultant, agent or representative of, any type of business or service (other than as an executive of the Company), provided that it shall not be a violation of the foregoing for the Executive to manage his personal, financial and legal affairs so long as such activities do not interfere with the performance of his duties and responsibilities to the Company as provided hereunder.
Employment, Duties and Agreements. (a) The Employer hereby agrees to employ the Employee (the "Employment") as the President of Employer, with such senior executive and management duties, responsibilities, obligations and powers commensurate with such role, as will be described herein and which are assigned to the President by the Board of Directors of Employer; and (b) The Employee hereby accepts the Employment and agrees to serve the Employer during the period described in Section 1(d) hereof. As part of Employee's duties he will identify and appoint and oversee executives of Employer and other staff necessary to operate and manage Employer; the appointment of executives of Employer shall be to be subject to prior approval by Employer's Board of Directors. Employee will keep the Employer's Board of Directors updated with written reports concerning Employer on an ongoing basis per the policies and practices of Employer. All agreements, whether oral or written obligating Employer or it's affiliates for obligations whether financial or otherwise (a) not contemplated in the approved budget; or (b) in excess of one year in length; or (c) not financial in nature, must be approved by the General Counsel of Employer. (d) The initial employment term shall be three (3) years from the execution of this Agreement, ("Initial Employment Term"), renewable on terms subject to good faith negotiations and mutual approval on an annual basis with three (3) months written notice prior to the expiration of the initial term, and thereafter each annual term ("Subsequent Annual Employment Terms"). Employment, Duties and Agreements. (a) Enhanced hereby retains RAF (the "Consulting Arrangement") as an independent contractor, on the terms and conditions hereof as special advisor on business affairs, with such duties, responsibilities, obligations and powers commensurate with such roles, as are described herein and which are reasonably assigned from time to time by the Board of Directors of Enhanced and RAF hereby accepts the Consulting Arrangement on the terms and conditions hereof. RAF shall report to the Board of Directors of Enhanced and shall devote such time as may be necessary, on a part-time basis, to the affairs of Enhanced and, upon request, shall provide assistance to Enhanced's other subsidiaries and affiliates ("Affiliates"). (b) It is understood and agreed that RAF shall be at all times and for all purposes hereunder an independent contractor to Enhanced and under no circumstances shall be deemed an employee, officer, partner or joint venturer of or with Enhanced. (d) RAF shall faithfully and diligently endeavor to represent and to promote the business and best interests of Enhanced and shall make available to Enhanced, when and if requested, the general knowledge possessed by him relating to any aspect of his duties and responsibilities hereunder. Throughout the term of this Consulting Arrangement, RAF shall provide services to Enhanced on a part-time basis and may perform the same or similar services for other persons or entities not inconsistent with his undertakings hereunder. (e) RAF shall keep accurate records showing the dates and times devoted to the services provided for herein and a description thereof, and shall present such records to Enhanced on request. (f) RAF hereby agrees to allow Enhanced to use his name, biography and likeness in connection with information that may be disseminated concerning Enhanced.
