Duties of Assignor. The Assignor shall have the duty (a) to prosecute ------------------ diligently any application to register the Trademarks pending as of the date hereof or thereafter until all Secured Obligations have been indefeasibly paid in full, (b) to make application on Trademarks, as appropriate or as requested by the Agent,except where failure to do so would have a Material Adverse Effect, and (c) to preserve and maintain all rights in all applications to register Trademarks, except where failure to do so would have a Material Adverse Effect. Any expenses incurred in connection with such applications shall be borne by the Assignor. The Assignor shall not abandon any right to file an application to register material Trademarks without the prior written consent of the Agent.

Duties of Assignor. Assignor shall have the duty (i) to prosecute diligently any patent, trademark and copyright application pending as of the date hereof or thereafter until all Obligations shall have been paid in full and the Loan Agreement is terminated, (ii) to make application on unpatented but patentable inventions and on trademarks and copyrights, as appropriate, and (iii) to preserve and maintain all rights in patent applications and patents of the Patents, in trademark applications, trademarks and trademark registrations of the Trademarks and in copyright applications and copyrights of the Copyrights. Any expenses incurred in connection with such applications shall be borne by Assignor. Assignor shall not abandon any right to file a patent, trademark or copyright application, or any pending patent, trademark or copyright application or any Patent, Trademark, License or Copyright without the consent of the Assignee, which consent shall not be unreasonably withheld.
Duties of Assignor. Until the time when the transferee of a Membership Interest becomes a Member, the transferor of the Membership Interest remains subject to all of the obligations, restrictions and liabilities under this Agreement for the Membership Interest and retains all rights and powers of a Member for the Membership Interest other than the right to receive cash and in kind distributions and the return of capital contributions.

Duties of Assignor. Assignor shall have the duty to the extent commercially reasonable and in Assignor's good faith business judgment: (i) to file and prosecute diligently any patent, trademark or service xxxx applications pending as of the date hereof or hereafter until all Obligations shall have been paid in full and the Credit Agreement has been terminated, (ii) to make application on unpatented but patentable inventions and on trademarks and service marks, (iii) to preserve and maintain all rights in the Intellectual Property (including, but not limited to, with respect to Trademarks, the filing of affidavits of use and, incontestability, where applicable, under ss.ss.8 and 15 of the Xxxxxx Act (15 U.S.C. ss. 1058, 1065) and renewals and, to the extent commercially reasonable, initiating opposition or cancellation proceedings or litigation against users of the same or confusingly similar marks who seriously threaten the validity or rights of Assignor in its Trademarks), and (iv) to ensure that the Intellectual Property is and remains enforceable. Any and all costs and expenses incurred in connection with Assignor's obligations under this Section 10 shall be borne by Assignor. Assignor shall not knowingly or unreasonably abandon any right to file a patent, trademark or service xxxx application, or abandon any pending patent application, or any other Intellectual Property, without the prior written consent of Assignee.
Duties of Assignor. Until the Obligations are satisfied in full and the Loan Agreement is terminated, Assignor shall: 1. Prosecute diligently any patent application included in the Patent Rights pending as of the date hereof or hereafter filed; 2. Make application on unpatented but patentable inventions, as appropriate giving due consideration to value, importance, cost and opinion of counsel as to patentability; and 3. Preserve, maintain, and enforce against infringement all Patent Rights (other than nonpayment of maintenance fees on Patents which are not necessary or useful in the conduct of Assignor's business or operations). Any expenses incurred in connection with such applications shall be borne by Assignor. Assignor shall not abandon any pending Patent application or patent without the written consent of Assignee which, consent shall not be unreasonably withheld.

Duties of Assignor. Assignor shall (i) file and ------------------ prosecute diligently any copyright applications pending as of the date hereof or hereafter, (ii) preserve and except as otherwise authorized by Agent for good cause shown, maintain all rights in the Copyrights and ensure that the Copyrights are and remain enforceable, provided, however, that Grantor may, in its reasonable business judgment, choose not to file and prosecute such applications or preserve and maintain such rights.
