Dôverné informácie. 6.1 Inštitúcia a skúšajúci súhlasia, že všetky dôverné informácie, ktoré prijmú od CRO, ZADÁVATEĽA alebo inak v spojení s touto zmluvou budú prijímané a uchovávané v prísnej tajnosti a nebudú poskytované tretej strane (inej ako ZADÁVATEĽ) počas výkonu skúšania a pätnásť (15) rokov po ukončení skúšania. Okrem toho inštitúcia a skúšajúci súhlasia, že budú dôverné informácie používať iba na účely tejto zmluvy, ak to nie xx xxxx stanovené v tejto zmluve. 6.2 Skúšajúci môže poskytnúť dôverné informácie iba (a) skúšajúcemu personálu, alebo iným zamestnancom, či personálu, ktorí potrebuje prístup k týmto informáciám na účely tejto zmluvy, ale za predpokladu, že pred poskytnutím týchto informácií inštitúcia a/alebo skúšajúci písomne zaviažu skúšajúci personál, zamestnancov alebo personál k rovnakým záväzkom, ako sú záväzky uvedené v tejto zmluve týkajúcej sa uchovávania dôverných informácií v tajnosti a používania dôverných informácií iba na účely v súlade s podmienkami tejto zmluvy, (b) príslušnej EK, ktorá má jurisdikciu na výkon skúšania v inštitúcii a (c) Štátnemu ústavu pre kontrolu liečiv. 6.3 Podmienky tejto zmluvy, vrátane a bez obmedzenia finančné podmienky, sú dôverné informácie ZADÁVATEĽA a CRO a inštitúcia a skúšajúci ich budú uchovávať v tajnosti v súlade s vyššie uvedenou časťou 6. 1. Ak je však inštitúcia alebo skúšajúci povinný podľa platného zákona poskytnúť tieto dôverné informácie, môžu tak urobiť bez porušenia ich záväzkov na základe tejto časti za predpokladu, že pred poskytnutím týchto informácií oznámia CRO, ktoré dôverné informácie budú zverejnené, dôvod zverejnenia a dátum zverejnenia. 6.4 Žiadna časť tejto zmluvy žiadnym spôsobom neobmedzuje ani neoslabuje právo zmluvnej strany používať, poskytovať, alebo inak narábať s dôvernými informáciami, ktoré v čase prijatia: (a) boli všeobecne dostupné na verejnej doméne alebo sa stali verejnými bez pričinenia zmluvnej strany, ktorá prijíma patričné dôverné informácie, alebo (b) boli nezávisle známe zmluvnej strane, ktorá dôverné informácie prijíma ešte pred ich prijatím, čo môže zmluvná strana dôkazne preukázať, alebo (c) boli právoplatne poskytnuté prijímajúcej zmluvnej strane treťou stranou, ktorá xxx xx viazaná záväzkom uchovávania týchto informácií ako dôverných.

This questionnaire will be used to: Determine geographical requirements; Identify CLEC identification codes; Determine CenturyLink system requirements to support CLEC's specific activity; Collect credit information; Obtain Billing information; Create summary bills; Establish input and output requirements; Create and distribute CenturyLink and CLEC contact lists; and Identify CLEC hours and holidays. 3.2.2 CLECs that have previously completed a Questionnaire need not fill out a New Customer Questionnaire; however, CLEC will update its New Customer Questionnaire with any changes in the required information that have occurred and communicate those changes to CenturyLink. Before placing an order for a new product, CLEC will need to complete the relevant New Product Questionnaire and amend this Agreement.

Any access to, or use or disclosure of, Verizon OSS Information by Reconex’s employees, agents or contractors, shall be subject to the provisions of this Agreement, including, but not limited to, Section 10 of the Agreement and Section 8.5.2.3 above. 8.5.2.6 Reconex’s license to use Verizon OSS Information shall expire upon the earliest of: (a) the time when the Verizon OSS Information is no longer needed by Reconex to provide Telecommunications Services to Reconex Customers; (b) termination of the license in accordance with this Section 8; or (c) expiration or termination of the Agreement. 8.5.2.7 All Verizon OSS Information received by Reconex shall be destroyed or returned by Reconex to Verizon, upon expiration, suspension or termination of the license to use such Verizon OSS Information. 8.5.3 Unless sooner terminated or suspended in accordance with the Agreement or this Section 8 (including, but not limited to, Section 2.2 of the Agreement and Section 8.6.1 below), Reconex’s access to Verizon OSS Information through Verizon OSS Services shall terminate upon the expiration or termination of the Agreement. 8.5.3.1 Verizon shall have the right (but not the obligation) to audit Reconex to ascertain whether Reconex is complying with the requirements of Applicable Law and this Agreement with regard to Reconex’s access to, and use and disclosure of, Verizon OSS Information. 8.5.3.2 Without in any way limiting any other rights Verizon may have under the Agreement or Applicable Law, Verizon shall have the right (but not the obligation) to monitor Reconex’s access to and use of Verizon OSS Information which is made available by Verizon to Reconex pursuant to this Agreement, to ascertain whether Reconex is complying with the requirements of Applicable Law and this Agreement, with regard to Reconex’s access to, and use and disclosure of, such Verizon OSS Information.
