E-Z. EM agrees that if, after the Offering, the E-Z-EM Board decides not to complete the Distribution or waives a material condition to the Distribution set forth in Section 2.4, E-Z-EM will issue a press release to disclose the change in intent or waiver, as applicable, or file a report on Form 8-K with the Commission.
E-Z. EM's unperformed payment obligations and AngioDynamics unperformed manufacturing obligations under the arrangements in this Section 3.4 shall survive the termination of the above-described manufacturing arrangements.
E-Z. EM will permit Pharmacyclics or its designated representative to perform vendor audits or other audits required by Applicable Laws on the facilities, procedures and records which are relevant to such audits of E-Z-EM and E-Z-EM's Affiliates and, to the extent reasonably obtainable by E-Z-EM, on facilities, procedures and records which are relevant to such audits of unaffiliated parties with responsibility for distribution, testing, analyzing, labeling or packaging the Licensed Product on reasonable advance notice to E-Z-EM during normal business hours.

E-Z. GO reserves the right to improve or change the design of any E-Z-GO vehicle or battery charger without being responsible to modify previously manufactured vehicles or battery chargers.
E-Z. EM's failure to pay, perform or discharge in due course E-Z-EM's liabilities that are not assumed by AngioDynamics in connection with the Distribution or the separation from AngioDynamics;
